Dynamic storage heating
Accumulation heaters with dynamic discharge are modern and energy-saving heating appliances. They consume electricity during the so-called night fare, which reduces the costs in comparison with the central heating from the municipal network mains as well as oil or gas heating. The heat accumulated during the night fare is stored in an accumulation block of magnesite stone and it is released only when the temperature in the room drops below the level fixed by the user. This is done by means of the so-called controlled exhaust of warm air, which is blown through special channels of the accumulation core by a silent ventilator. Thanks to this solution, storage heaters ensure thermal comfort in the heated rooms twenty-four hours a day.
These devices use modern thermal insulation (microtherm, vermiculite, super-isol) preventing uncontrolled release of heat and ensuring a safe temperature of the accumulative heater casing. W dniu 07 lipca 2008 roku w Toruniu, w lokalu spółki przy ul. [xxxxxxx] odbyło się Zwyczajne Zgromadzenie Wspólników Spółki [xxxxxxxxx] z siedzibą w Toruniu, zarejestrowanej w Rejestrze Przedsiębiorców Krajowego Rejestru Sądowego pod numerem KRS [xxxxxx] (dalej zwanej „Spółką”), o następującym porządku obrad:
1. Otwarcie obrad i wybór Przewodniczącego;
2. Stwierdzenie prawidłowości zwołania Zgromadzenia i zdolności do podejmowania uchwał;
3. Rozpatrzenie i zatwierdzenie sprawozdania Zarządu z działalności Spółki oraz sprawozdania finansowego za rok obrotowy 01.04.2007 – 31.03.2008;
4. Powzięcie uchwały w przedmiocie zadysponowania zyskiem za rok obrotowy 01.04.2007 – 31.03.2008;
5. Udzielenie członkom Zarządu Spółki absolutorium z wykonania przez nich obowiązków;
6. Zamknięcie Zgromadzenia.
Zgromadzenie zostało otwarte przez [xxxxxxxxx], który objął funkcję Przewodniczącego Zgromadzenia i zdecydował o sporządzeniu listy wspólników, podpisał ją i oświadczył, że Zgromadzenie zostało zwołane w przewidzianej prawem formie, stosownie do art. 240 Kodeksu spółek handlowych i jako takie jest władne podejmować uchwały przewidziane w porządku dziennym, jako że cały kapitał zakładowy jest reprezentowany i nikt z uczestników nie wyraził sprzeciwu, co do odbycia Zgromadzenia, jak i w odniesieniu do poszczególnych punktów porządku dziennego.

Zwyczajne Zgromadzenie Wspólników Spółki [xxxxxxxxxxxx], po rozpatrzeniu w dniu dzisiejszym, na podstawie § 29 Umowy Spółki oraz art. 231 § 2 punkt 1 Kodeksu spółek handlowych niniejszym zatwierdza sprawozdanie Zarządu z działalności Spółki oraz sprawozdanie finansowe za rok obrotowy 01.04.2007 – 31.03.2008, w tym bilans zamykający się sumą bilansową 3 428 380,42 złotych, rachunek zysków i strat wykazujący zysk netto w wysokości 749 122,62 złotych.
Uchwała nr 1 została przyjęta w głosowaniu jawnym wszystkimi głosami reprezentowanymi podczas Zgromadzenia.
Uchwała nr 2 z dnia 07 lipca 2008 r.
Zwyczajne Zgromadzenie Wspólników Spółki [xxxxxxxxxx], po rozpatrzeniu zgłoszonego w dniu dzisiejszym wniosku akcjonariusza, na podstawie § 18 Umowy Spółki oraz art. 231 § 2 punkt 2 Kodeksu spółek handlowych niniejszym postanawia przeznaczać część zysku Spółki za rok obrachunkowy 01.04.2007 – 31.03.2008 do podziału i wypłacić dywidendę w wysokości 150 000,00zł na rzecz spółki [xxxxxxxxxx] GmbH z siedzibą w Ludwigshafen i kwotę 470,00zł na rzecz spółki [xxxxxxxxxx] z siedzibą w Ludwigshafen. Pozostałą część zysku Spółki [xxxxxxxxx] w wysokości 598 652,62 zł. Zgromadzenie wspólników postanawia przeznaczyć na kapitał zapasowy Spółki.
Uchwała nr 2 została przyjęta w głosowaniu jawnym wszystkimi głosami reprezentowanymi podczas Zgromadzenia.

Zwyczajne Zgromadzenie Wspólników Spółki [xxxxxxxxxxx], po rozpatrzeniu w zgłoszonego w dniu dzisiejszym wniosku akcjonariusza, na podstawie art. 231 § 2 punkt 3 Kodeksu spółek handlowych, niniejszym udziela absolutorium członkom Zarządu Spółki,

On 7 July 2008, an Annual General Meeting of Shareholders of [xxxxxxx] was held at the office located at [xxxxxxxx]. The Company (hereinafter referred to as the ”Company”) is seated in Toruń and it is entered into in the Register of Entrepreneurs of the National Court Register under the KRS number [xxxxxx]. The agenda of the meeting was the following:
1. opening of the Meeting and election of the Chairman,
2. confirmation that the Meeting had been convened properly and the participants were able to pass resolutions,
3. consideration and approval of the Management Board’s report on the Company’s operations and the financial statement in the financial year 01.04.2007 – 31.03.2008,
4. adopting a resolution regarding the allocation of the profit for the financial year 01.04.2007 – 31.03.2008,
5. acknowledgement of the fulfillment of duties by the Members of the Company’s Management Board,
6. closing of the Meeting.
The Meeting was opened by Mr [xxxxx], who assumed the function of the Chairman of the Meeting and decided that a list of attendance should be prepared. Then, he signed the list and declared that the Meeting had been convened according to the provisions of Article 240 of the Commercial Companies Code and, therefore, it was able to pass the resolutions included in the agenda since the whole initial capital was represented and none of the persons participating in the meeting expressed objections as to holding the Meeting and as to individual items on the agenda.
The Meeting of Shareholders passed the following resolutions:
Resolution No. 1 of 7 July 2008
Having examined the report of the Management Board on the operations of the Company and the financial statement for the financial year 01.04.2007 – 31.03.2008, the Annual General Meeting of Shareholders of [xxxxxxxx] hereby decides to approve this report and the financial statement including the balance sheet with the closing sum of PLN 3,428,380.42 as well as the profit and loss account with the net profit of PLN 749,122.62. Resolution No. 1 was adopted during an open vote with all the votes represented during the Meeting.

SPÓŁKI Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ
§ 1
[xxxxxx] i [xxxxxx] oświadczają, iż zawiązują spółkę z ograniczoną odpowiedzialnością, zwaną dalej „spółką”.
§ 2
Spółka prowadzona będzie pod firmą: [xxxxxx] Spółka z ograniczoną odpowiedzialnością. Spółka może używać skrótu „[xxxxxx] Sp. z o.o.”.
§ 3
Siedzibą spółki jest miejscowość Łysomice.
§ 4
Spółka zostaje zawarta na czas nieograniczony.
§ 5
Przedmiotem działalności spółki jest:
• Budownictwo PKD 45
• Handel hurtowy i komisowy, z wyłączeniem handlu pojazdami samochodowymi, motocyklami PKD 51

4. Każdy udział daje prawo do jednego głosu.

Udziały w kapitale zakładowym spółki zostały objęte i pokryte w następujący sposób:

1. Udziały są zbywalne i mogą być zastawione. Zbycie lub zastawienie udziałów może nastąpić jedynie na warunkach określonych niniejszym paragrafem
2. Udziały mogą być swobodnie zbywane miedzy wspólnikami.
We wszystkich innych przypadkach zbycie lub zastaw udziałów wymaga zgody Zgromadzenie Wspólników, udzielonej zgodnie z poniżej określonymi zasadami.
Wspólnik zbywający lub zostawiający udziały, winien powiadomić zarząd listem poleconym z potwierdzeniem odbioru. Zawiadomienie to musi zawierać nazwisko (firmę) nabywcy lub zastawnika, ilość zbywanych udziałów oraz cenę zbycia. Tytułem informacji zawiadomienie winno być ponadto wysłane faxem lub teleksem.
Zbycie lub zastawienie udziałów osobie trzeciej wymaga zgody udzielonej większością ¾ głosów Zgromadzenia Wspólników, na którym to Zgromadzeniu reprezentowane jest co najmniej 75% kapitału zakładowego spółki.
Zbywca lub zastawca bierze udział w głosowaniu.
Jeżeli Zgromadzenie nie zostało zwołane w ciągu 8 dni od otrzymania pierwszego zawiadomienia, zbywca lub zastawca wysyła do zarządu drugie zawiadomienie, listem poleconym z potwierdzeniem odbioru. Jeżeli Zgromadzenie nie zostało zwołane w ciągu 30 dni od daty otrzymania drugiego zawiadomienia, zostanie to uznane jako zgoda na zbycie lub zastaw.
Uznaje się, że zgoda została odmówiona w przypadku, gdy Zgromadzenie prawidłowo zwołane nie mogło ważnie głosować z powodu braku quorum.
W przypadku gdy Zgromadzenie Wspólników nie wyraża zgody, Wspólnik zbywający może zrezygnować ze zbycia udziałów, o czym poinformuje zarząd listem poleconym za potwierdzeniem odbioru. Jeżeli Wspólnik zbywający nie zrezygnuje ze zbycia, Zarząd zwołuje drugie Zgromadzenie Wspólników.
W zawiadomieniu o drugim Zgromadzeniu Zarząd poinformuje każdego wspólnika o prawie pierwokupu, które powinno być wykonane w sposób następujący:
- wspólnik winien poinformować zarząd listem poleconym z potwierdzeniem odbioru na co najmniej 7 dni przed odbyciem się Zgromadzenia o zamiarze skorzystania z prawa pierwokupu.
Brak odpowiedzi w przewidzianym terminie uważany jest za rezygnacje z prawa pierwokupu. Prawo pierwokupu jest proporcjonalne do ilości posiadanych udziałów.
W przypadku skorzystania z prawa pierwokupu Zarząd poinformuje o tym natychmiast zbywającego. Jeżeli prawo pierwokupu nie zostało wykorzystane w stosunku do wszystkich udziałów podlegających zbyciu Zarząd wyznaczy nowego nabywcę lub nabędzie udziału w imieniu spółki. Również zbywający może także zrezygnować ze zbycia wszystkich udziałów lub tylko tych w stosunku, do których nie skorzystano z prawa pierwokupu. Zawiadomi o tym Zarząd listem poleconym z potwierdzeniem odbioru.
Ceną udziałów jest cena zaproponowana przez zbywcę. W razie sporu co do ceny zbycia zostanie ona ustalona w wysokości wartości aktywów netto, wykazanej w ostatnim zweryfikowanym bilansie, sporządzonym zgodnie z ogólnie uznanymi międzynarodowymi standardami księgowymi.
3. Zbycie udziałów osobie trzeciej nie pociąga zmian w niniejszej umowie spółki.
4. Spółka winna być poinformowana o każdym zbyciu udziałów i kopie umowy zbycia winny być jej przesłane.
§ 9
Udziały mogą być umorzone w przypadkach przewidzianych prawem. Spółka może nabywać swoje udziały w przypadkach przewidzianych prawem, w celu ich umorzenia.
§ 10
1. Kapitał zakładowy spółki może być podwyższony na mocy uchwały Zgromadzenia Wspólników poprzez zwiększenie ilości lub wartości nominalnej udziałów.
2. Podwyższenie kapitału zakładowego do 10 ( dziesięciokrotnej) wartości kapitału zakładowego nie stanowi zmiany umowy spółki o ile podwyższenie to nastąpi do 31-12-2014 roku.
3. Uchwała Zgromadzenia Wspólników podwyższającą kapitał zakładowy jest ważna, jeżeli została podjęta większością ¾ głosów przy obecności wspólników reprezentujących 75% kapitału zakładowego.
4. W przypadku podwyższenia kapitału wspólnicy dysponują prawem pierwszeństwa przy objęciu nowoutworzonych udziałów, proporcjonalnie do posiadanych udziałów, z tym, że każdy wspólnik może się indywidualnie tego prawa zrzec.
Wspólnicy winni skorzystać z prawa pierwszeństwa w ciągu jednego miesiąca od daty otrzymania od zarządu listu poleconego z potwierdzeniem odbioru wzywającego do wykonania przysługującego im prawa pierwszeństwa.
Udziały, które nie zostaną objęte po upływie tego okresu zostaną zaoferowane w pierwszym rzędzie pozostałym wspólnikom proporcjonalnie do posiadanych przez nich udziałów, a następnie zostaną zaoferowane osobom trzecim zainteresowanym przystąpieniem do spółki.
5. Kapitał zakładowy może być obniżony w granicach przewidzianych prawem.
§ 11
Władzami Spółki są:

1. Zgromadzenie Wspólników jest najwyższym organem spółki
2. Zgromadzenie Wspólników może być zwyczajne lub nadzwyczajne. Zwyczajne Zgromadzenie zwoływane jest przez zarząd w terminie 6 miesięcy po zamknięciu każdego roku obrachunkowego spółki. Nadzwyczajne Zgromadzenia zwołuje zarząd z własnej inicjatywy lub na pisemny wniosek co najmniej 10% kapitału zakładowego. Jeżeli zarząd nie zwoła Nadzwyczajnego Zgromadzenia wspólników w ciągu 2 tygodni od otrzymania takiego pisemnego wniosku, wspólnicy reprezentujący co najmniej 10% kapitału zakładowego maja prawo do zwołania Nadzwyczajnego Zgromadzenia. Zgromadzenie Wspólników jest ważne, jeżeli Wspólnicy lub ich pełnomocnicy reprezentują co najmniej 51 % ( pięćdziesiąt jeden procent) kapitału zakładowego.
3. Uchwały Zgromadzenia Wspólników zapadają zwykłą większością głosów oddanych, chyba że przepisy kodeksu spółek handlowych lub postanowienia niniejszej umowy stanowią inaczej. Każdy udział uprawnia do jednego głosu na Zgromadzeniu Wspólników.
§ 13
Do kompetencji Zgromadzenia Wspólników oprócz spraw wymienionych w kodeksie spółek handlowych i niniejszym akcie, należy :
a) powoływanie i odwoływanie członków Zarządu Spółki, ustalenie liczby członków Zarządu Spółki oraz ustalanie dla nich wynagrodzenia,
b) ustalanie i zwrot dopłat,
c) wyrażanie zgody na zbycie lub zastawienie udziałów,
d) podział zysku lub pokrycie strat bilansowych,
e) podejmowanie uchwał w przedmiocie umorzenia udziałów,
f) wyrażanie zgody na zaciąganie kredytów lub udzielanie poręczeń,
g) wyrażanie zgody na prowadzenie przez członków Zarządu interesów konkurencyjnych lub udziału albo sprawowania funkcji w spółkach konkurencyjnych,
h) wyrażanie zgody na otwieranie przez Spółkę oddziałów, filii i przedstawicielstw oraz przystępowanie do innych spółek z udziałem kapitału krajowego i zagranicznego.
§ 14
Zarząd Spółki składa się z jednego do trzech członków powoływanych i odwoływanych przez Zgromadzenie Wspólników.
§ 15.
1. Do składania oświadczeń i podpisywania w imieniu Spółki uprawniony jest każdy członek Zarządu samodzielnie.
§ 16
1. Wspólnicy mają prawo do udziału w czystym zysku Spółki przeznaczonym do podziału przez Zgromadzenie Wspólników proporcjonalnie do posiadanych przez siebie udziałów. W tym samym zakresie Wspólnicy uczestniczą w pokrywaniu strat bilansowych Spółki.
2. Zgromadzenie Wspólników może w całości lub w części wyłączyć zysk od podziału przeznaczając go na fundusze celowe Spółki.
§ 17
Spółka może tworzyć kapitały i fundusze celowe oraz inne przewidziane przez prawo.
§ 18
Rokiem obrotowym Spółki jest rok kalendarzowy.
§ 19
W przypadku śmierci wspólnika jego spadkobiercy nie wchodzą do spółki, nastepuje spłata udziału według wartości bilansowej.

We wszystkich sprawach nie uregulowanych niniejszą umową mają odpowiednie zastosowanie przepisy kodeksu spółek handlowych.

Section 8
1. The shares are transferable and they can be pledged. The shares can be transferred or pledged only in accordance with the provisions provided in this paragraph.

In all the other cases, the transfer or pledge of shares requires consent of the General Meeting of Shareholders granted in accordance with the principles defined below.
The shareholder who transfers or pledges his shares should notify the Management Board by registered mail with acknowledgement of receipt. This notification must include the name (business name) of the purchaser or the pledgee, the number of shares being transferred and the transfer price. The notification should also be sent by fax or telex for information.
Transfer or pledge of the shares to a third party requires consent given by a majority of 3/4 of the votes at the General Meeting of Shareholders, at which at least 75% of the initial capital of the company is represented.
The transferor or the pledger takes part in the vote.
If the General Meeting is not convened within 8 days after receiving the first notification, the transferor or the pledger shall send the Management Board a second notification by registered mail with acknowledgement of receipt. If the General Meeting is not convened within 30 days after receiving the second notification, this will be regarded as consent to the transfer or pledge.
It is considered that the consent was refused if a properly convened General Meeting was not able to cast a valid vote due to a lack of quorum.
If the General Meeting of Shareholders does not give its consent, the shareholder transferring his shares can renounce the transfer, of which he will notify the Management Board by registered mail with acknowledgement of receipt. If the Shareholder transferring his shares does not renounce the transfer, the Management Board convenes the second General Meeting of Shareholders.
In the notification about the second General Meeting, the Management Board shall inform each shareholder about his right of pre-emption, which should be exercised in the following way:
- a shareholder should inform the Management Board about his intention to exercise his right of pre-emption by registered mail with acknowledgement of receipt at least seven days before the General Meeting.
Failure to respond within the prescribed time limit is considered as a waiver of the right of pre-emption. The right of pre-emption is proportional to the number of shares owned by a shareholder.
If the right of pre-emption is exercised, the Management Board will immediately inform the transferring party. If the right of pre-emption has not been exercised in relation to all the shares subject to sale, the Management Board will appoint a new purchaser or will purchase the shares on behalf of the company. The transferring party may also renounce the right to transfer all the shares or only those shares in relation to which the right of pre-emption has not been exercised. In such a case the party will notify the Management Board by registered letter with acknowledgement of receipt.
The price proposed by the transferor is the price of the shares. If a dispute over the price of the transfer arises, the price will be established as the net value of shares revealed in the latest verified balance sheet prepared in accordance with the generally recognized international accounting standards.
3. The transfer of shares to a third party does not cause any changes in this deed of company formation.
4. The Company should be informed about each transfer of shares and it should receive copies of the transfer agreement.
Section 9
The shares can be redeemed in the cases provided for by the law. The company can purchase its shares in the cases provided for by the law in order to redeem them.
Section 10
1. The initial capital of the company can be raised pursuant to a resolution of the General Meeting of Shareholders by increasing the number or the nominal value of the shares.
2. The increase in the initial capital to its tenfold value does not constitute an amendment to the company’s articles of association as long as it takes place by 31-12-2014.
3. A resolution of the General Meeting of Shareholders raising the initial capital is valid if it was adopted by the majority of 3/4 of the votes in the presence of shareholders representing 75% of the initial capital.
4. If the capital is raised, the shareholders have the right of pre-emption with respect to the new shares. They can take hold of the new shares in proportion to the shares they own, provided that each shareholder may individually renounce this right.
The shareholders should exercise the right of pre-emption within one month of receiving a registered letter from the Management Board with acknowledgement of receipt calling upon them to exercise their right of pre-emption.
The shares which are not taken hold of after the end of this period will be offered, in the first place, to the other shareholders in proportion to the shares in their possession. Then, the shares will be offered to third parties interested in joining the company.
5. The initial capital may be reduced within the limits provided for by the law.
Section 11
The authorities of the company include:
- the General Meeting of the Shareholders,
- the Management Board.
Section 12
1. The General Meeting of Shareholders is the supreme body of the company.
2. The General Meeting of Shareholders can be ordinary or extraordinary. The Ordinary General Meeting of Shareholders is convened by the Management Board within 6 months after the end of each company’s financial year. The Extraordinary General Meeting is convened by the Management Board on their own initiative or upon a written request of at least 10% of the initial capital. If the Management Board fails to convene an Extraordinary General Meeting of Shareholders within two weeks of receiving such a written request, the shareholders representing at least 10% of the initial capital have the right to convene such an Extraordinary General Meeting. The General Meeting of Shareholders is valid if the Shareholders or holders of their proxy represent at least fifty one per cent (51%) of the initial capital.
3. Resolutions of the General Meeting of Shareholders are adopted by a simple majority of the votes cast, unless the regulations of the Commercial Companies Code or the provisions of this deed state otherwise. Each share entitles to one vote at the General Meeting of Shareholders.
Section 13
In addition to the matters mentioned in the Code of Commercial Companies and this deed, the powers of the General Meeting of Shareholders include:
a) appointing and dismissing members of the Company’s Management Board, determining the number of the members of the Company’s Management Board as well as their remuneration,
b) setting and refunding of surcharges,
c) giving consent to the transfer or pledge of shares,
d) distribution of profit and coverage of balance sheet losses,
e) adopting resolutions on the redemption of shares,
f) giving consent to take loans or grant guarantees,
g) giving consent for members of the Management Board to conduct competitive interests or to participate or exercise functions in competing companies,
h) giving consent to the opening of branches, affiliates and agencies by the Company as well as joining other companies with the participation of domestic and foreign capital.
Section 14
The Company’s Management Board consists of one to three members appointed and dismissed by the General Meeting of Shareholders.
Section 15
1. Each member of the Management Board is entitled to make declarations and sign documents on behalf of the Company on his own.
Section 16
1. The Shareholders have the right to participate in the Company’s net profit intended for distribution by the General Meeting of Shareholders in proportion to the shares they own. The Shareholders participate in covering the Company’s balance sheet losses in the same proportion.
2. The General Meeting of Shareholders can fully or partially exclude profit from distribution, allocating it to the Company’ special purpose funds.
Section 17
The Company can create earmarked capitals and special purpose funds as well as other capitals and funds provided for by the law.
Section 18
The calendar year is the Company’s financial year.
Section 19
In the event of the death of one of the shareholders, his heirs do not enter the company. His share is repaid according to the balance-sheet value.

4.3 The operation plan of the Company shall be determined by the Board in view of actual market conditions, expected sales volumes, the employees' ability to absorb new technology and any other factors considered important by the Board. (f) take out and maintain all necessary insurances for the Company and its assets in accordance with Applicable Laws;
(g) engage in any other lawful act or activity within the approved business scope of the Company or which it is, from time to time, otherwise permitted to engage in under Applicable Laws;
(h) open and operate bank accounts with banks selected by the Company either in the PRC or abroad in accordance with Applicable Laws; and
(i) subject to Applicable Laws, on behalf of the Investor and with Investor’s prior written approval, engage in selected joint-venture, cooperation or commercial agreements either in the PRC or abroad with the possibility of having a third party substitute itself in terms of the Company's rights and obligations under these agreements.
5. TOTAL INVESTMENT AND REGISTERED CAPITAL
5.1 The Registered Capital of the Company is Three Million United States Dollars (USD 3,000,000).
5.2 The total investment amount of the Company is Six Million United States Dollars (USD 6,000,000).
5.3 Contributions to Capital
(a) The Investor's contribution to the Registered Capital of the Company shall be Three Million United States Dollars (USD 3,000,000), representing a one hundred percent (100%) share in the Registered Capital of the Company.
(b) The Investor's Capital Contributions shall be made in United States Dollars cash.
5.4 Payment of Registered Capital; Conditions Precedent
(a) Subject to Article 5.4(b) below, the Investor shall make its Capital Contributions to the Registered Capital of the Company in accordance with the schedule set forth in Schedule B.
(b) The Investor shall not have any obligation to make its Capital Contributions to the Company's Registered Capital until it has received each of the following documents:
(i) a copy of the Approval Certificate approving these Articles and other application documents for establishment of the Company without Material Modification; and
(ii) a copy of the Business License incorporating the business scope set out in Article 4.2 without Material Modification.
(c) If the Approval Certificate or the Business License (each being an “Approval Document”) is issued with a Material Modification, the Investor shall determine whether:
(i) to accept such Material Modification and waive the corresponding condition precedent in Article 5.4(b); or
(ii) to apply to the relevant government departments to have such Approval Document amended and re-issued in a form which remedies the Material Modification to the satisfaction of the Investor.
In addition, if the Approval Certificate is issued with a Material Modification, and the Investor does not agree to accept such Material Modification and waive the corresponding condition precedent, then the Company shall not apply to the SAIC for the issuance of the Business License until such Material Modification is remedied to the satisfaction of the Investor.
(d) In the event that:
(i) any Approval Document is not issued within ninety (90) days of the date of submission of the relevant application in respect thereof; or
(ii) there is any Material Modification to any Approval Document that is not accepted by the Investor and that cannot be remedied in the manner described in Article 5.4(c) above within ninety (90) days of the date of issuance of such original Approval Document;
and the Investor does not agree to waive the corresponding condition precedent in Article 5.4(b) or to extend the time for fulfilling the same, then the Investor shall have the right to declare these Articles immediately null and void, whereupon the Investor shall apply for the cancellation of the approval of the establishment of the Company.
5.5 Registration of Company
Subject to Article 5.4 above, within thirty (30) days of the issuance of the Approval Certificate, the Company shall apply to SAIC for registration and the issuance of the Business Licence. Following issuance of the Business Licence, the Company shall promptly apply for all relevant post establishment registrations and certificates, such as local and national tax registration, foreign exchange registration certificate, etc.
5.6 Investment Certificates
(a) When the Investor has contributed all or any part of the Registered Capital to the Company, a Chinese registered accountant appointed by the Board qualified to engage in capital verification business in relation to the Company shall verify such contribution and issue a capital contribution verification report. In accordance with such report, the Company shall issue an Investment Certificate to the Investor.
(b) An interim certificate shall be issued in respect of each partial contribution made by the Investor. Upon completion of all Capital Contributions by the Investor, any interim certificate(s) shall be returned to the Company for cancellation and a final Investment Certificate shall be issued. Any interim or final Investment Certificate shall be signed by the Chairman of the Board, chopped by the Company and shall certify the amount contributed by the Investor and the date on which such capital contribution was made.
(c) If an Investment Certificate is lost, stolen, damaged or destroyed, the Investor or the party to whom such certificate is transferred or assigned pursuant to these Articles shall promptly file a written report to the Board. After examining and approving the report, the Board shall cancel the old certificate and issue a new Investment Certificate to such Investor or party.
5.7 Assignment of Registered Capital
The Investor may sell, transfer or otherwise dispose of (each a "transfer") all or any part of its interest in the Registered Capital of the Company to any third party only with the approval of the Examination and Approval Authority. Upon receipt of approval from the Examination and Approval Authority, the Company shall register the changes in ownership with the SAIC. All transfers shall be handled in compliance with Changes in Equity Interests of Investors in Foreign Investment Enterprises Several Provisions issued by MOFTEC and the SAIC on 28 May 1997 (“Changes in FIE Equity Interests Provisions”) and other Applicable Laws.
5.8 Encumbrance of Investment
The Investor may only mortgage, pledge, or otherwise encumber all or any part of its interests in the Company's Registered Capital subject to complying with the Changes in FIE Equity Interests Provisions and other Applicable Laws.
5.9 Government Approvals
In the event of the Company, with the approval of the Investor, engaging in a merger, division or other major changes, it shall apply to the Examination and Approval Authority for approval and, subject to obtaining such approval, carry out procedures for the registration of such changes with SAIC.
5.10 Increase or Reduction of Registered Capital
Any increase or reduction in the Registered Capital of the Company must be approved by the Investor and submitted to the Examination and Approval Authority for approval. Upon such approval, the Company shall register the increase or reduction with the SAIC.
5.11 Additional Financing
The balance of the total investment amount (being the difference between the Registered Capital set out in Article 5.1 and the total investment amount set out in Article 5.2) may be obtained by the Company through loans from sources inside or outside China.
6. SALES OF GOODS AND/OR SERVICES
6.1 The Company may provide goods and/or services within its permitted business scope to clients in the PRC domestic market and/or in the international market.
7. SHAREHOLDER
7.1 The Investor as the sole shareholder of the Company is the highest authority in the Company. The shareholder shall exercise the following functions and powers:
(a) to decide on the business policies and investment plans of the Company;
(b) to elect and replace Directors and Supervisors and to decide on matters concerning the remuneration of directors and Supervisors;
(c) to consider and approve reports of the Board;
(d) to consider and approve reports of the Supervisors;
(e) to consider and approve the Company's proposed annual financial budgets and final accounts;
(f) to consider and approve the Company's profit distribution plans and plans for making up losses;
(g) to pass resolutions on the increase or reduction of the Company's Registered Capital;
(h) to pass resolutions on the issuance of corporate bonds;
(i) to pass resolutions on matters such as the merger, division, dissolution, liquidation or change of the corporate form of the Company;
(j) to amend the articles of association of the Company;
(k) the transfer of any material part of the Company's assets to a third party;
(l) the extension of the Term and the change of the business scope;
(m) the creation of a mortgage, pledge or other encumbrance over the assets of the Company, or the giving of any financial guarantee by the Company for the obligations of any third party; and
(n) other important matters considered by the Investor to be decided by its resolution.
7.2 Right to Delegate Powers
The Investor may, by resolution or power of attorney (issued by the Investor by way of delegation of its powers), delegate any of the aforementioned powers to the Board of the Company as it sees fit. Any power of attorney issued by the Investor must state the donor of the power of attorney, the donee of the power of attorney, the matters subject to agency and the duration of the validity of the power of attorney.
8. BOARD OF DIRECTORS
8.1 Formation of the Board
(a) The Board was formed on the Business License Issuance Date.
(b) The Board shall consist of three (3) Directors, all of which shall be appointed by the Investor.
(c) Each Director shall be appointed for a term of three (3) years and may serve consecutive terms if re-appointed by the Investor. A Director shall serve and may be removed by the Investor by written notice delivered to the Company by facsimile, telex, telegram or registered airmail at its legal address or facsimile telephone number from time to time. If a seat on the Board is vacated by the retirement, resignation, illness, disability or death of a Director or by the removal of such Director by the Investor, then the Investor shall appoint a successor to serve out such Director's term. The Investor shall be responsible for any claims made by Directors removed by it (whether for loss of office as a Director or otherwise), whilst the Company shall be responsible for any claims relating to Directors who also hold office as employees in relation to the termination of their employment (where applicable). The Company and the Investor shall (as appropriate) make the relevant filings and execute the documents required to register the resulting changes with the relevant SAIC and other authorities as required under Applicable Laws.
(d) A Director selected by the Investor shall serve as the Chairman of the Board (“Chairman”). The Chairman shall be the legal representative of the Company. The Chairman may serve concurrently as an officer or employee of the Company. The Investor may also appoint another Director to act as a Vice Chairman.
(e) All reasonable expenses of the Chairman and the other Directors, such as round-trip airplane tickets and reasonable accommodation properly and necessarily incurred by the Directors in the performance of their duties assigned by the Board shall, subject to production of valid original receipts and vouchers, be borne by, or reimbursed by the Company in accordance with such policies and guidelines as the Board may adopt from time to time.
(f) No Director shall bear any personal liability for any acts performed in good faith in his capacity as a Director or as assigned by the Board, except for wilful misconduct, acts in violation of Applicable Laws or applicable internal rules, regulations and policies issued by the Company after approval by the Board from time to time. Subject to the foregoing, the Company shall, to the extent permitted under Applicable Laws, indemnify each Director against any claims that may be brought against such Director for acts performed in his capacity as a Director.
8.2 Board Meetings
(a) Adoption of resolutions relating to matters relating to the Company shall require the affirmative vote of a simple majority of the Directors present in person, by proxy or by telecommunications at a duly convened meeting of the Board, save in relation to matters where a unanimous resolution is required to be passed pursuant to Applicable Laws or by these Articles (if any). Where the Examination and Approval Authority require a unanimous resolution as a practical matter in order to carry out any administrative action, this shall be deemed to be a requirement under Applicable Laws for a unanimous resolution, and the provisions of these Articles shall be construed accordingly.
(b) Where any resolution is required by Applicable Laws or by these Articles to be passed "unanimously", save where Applicable Laws expressly otherwise provide, this shall be interpreted in relation to the activities of the Board as meaning that it must be adopted by unanimous vote of all members of the Board attending in person, by proxy or by telecommunications and entitled to vote at a duly convened Board meeting at which a quorum exists, or by a written resolution signed by all the directors of the Company and which is otherwise passed in accordance with Article 8.2(i) of these Articles.
(c) The first Board meeting shall be held within thirty (30) days from the Business License Issuance Date. Thereafter, Board meetings shall be held at least twice each calendar year. Meetings generally shall be held at the legal address of the Company or such other address in China or abroad as is designated by the Chairman.
(d) The Chairman shall set the agenda and shall be responsible for convening and presiding over such meetings. In the absence of the Chairman or if the Chairman is unable for any reason to perform such functions, they shall be performed by the Vice Chairman or another Director designated by the Chairman.
(e) A written notice of any meeting of the Board must be sent by the Chairman to each of the directors by facsimile, telex, telegram or registered airmail to their last known addresses or contact numbers (or such other address or contact number as the Director may specify in writing to the Company from time to time) not less than 14 calendar days before such meeting. Such notice shall indicate the time and place and shall contain the agenda of the meeting. Notice of any Board meeting may be reduced or waived by unanimous consent of all Directors. Notice of a Board meeting shall be deemed duly given to any Director who attends the meeting without protesting, before or at its commencement, of the lack of notice to that Director.
(f) Board meetings may be attended by Directors in person, by proxy or by telecommunications. Two (2) Directors present in person, proxy or by telecommunications shall constitute a quorum necessary for the conduct of business at a meeting of the Board, provided that no meeting can be validly held by one (1) Director acting alone both in his own right and as a proxy for one or more other Directors.
(g) If a Director is unable to participate in a Board meeting in person or by telecommunications, he may issue a written proxy and entrust a representative (including another Director) to participate in the meeting on his behalf. The representative so entrusted shall have the same rights and powers as the Director, unless otherwise expressly stated in the appointment document. Such representative shall present such written proxy to the Chairman prior to the start of any Board meeting, and the Chairman shall attach such proxy to the minutes of the Board meeting.
(h) Board meetings shall be conducted in [English].
(i) In lieu of a regular or interim meeting of the Board, a written resolution may be adopted by the Board if such resolution is sent to all Directors and is affirmatively signed and adopted by the number of Directors who could validly adopt such resolution at a duly convened meeting of the Board.
(j) The Chairman as the legal representative of the Company is the responsible person who, pursuant to these Articles, has the power to represent the Company in its dealings with third parties. If the legal representative is unable to exercise his powers, he shall appoint an agent in writing to exercise such powers on his behalf. No Director or other officer of the Company shall have the power to bind the Company except pursuant to a written authority expressly granted pursuant to a resolution of the Board approved in accordance with the provisions of these Articles, or where appointed in writing by the legal representative as his agent.
8.3 Powers of the Board
The powers of the Board shall include:
(a) to implement the resolutions of the Investor;
(b) to formulate the Company's proposed annual financial budgets and final accounts;
(c) to formulate the Company’s profit distribution plans and plans for making up losses;
(d) to formulate plans for the Company’s increase or reduction of the Registered Capital or for the issuance of corporate bonds;
(e) to formulate plans for the merger, division, dissolution or change of corporate form of the Company;
(f) to decide to enter into any joint venture with, or investment in, another legal entity or the acquisition of the equity interests in, or the assets of, another legal entity;
(g) the establishment of the Company bank accounts and the appointment of the Company’s Independent Auditor;
(h) to decide the establishment of bank credit facilities or the borrowing of loans by the Company;
(i) review and approval of Company policies and procedures regarding management of financial accounts, execution of legal documents and other important matters;
(j) the amount and timing of allocations to, and use of the reserve fund, the expansion fund and the employee bonus and welfare fund subject always to complying with the minimum requirements under Applicable Laws;
(k) review and approval of the Company’s business or other operational plans;
(l) the establishment of, and any amendments to, the management and remuneration systems for the Company;
(m) the establishment and closure of any branch offices or representative offices of the Company;
(n) the appointment, compensation, and dismissal of the General Manager (as nominated by the Investor), Deputy General Manager, Chief Financial Officer and other Management Personnel;
(o) change of enterprise name or office address of the Company and the application on behalf of the Company for any qualifications, permits or licences required for its operational activities;
(p) the conduct of legal or dispute settlement proceedings (including conciliation, arbitration and litigation) to which the Company is a party; and
(q) other important matters relating to the operations and management of the Company.
8.4 Right to Delegate Powers
The Board may, by resolution or power of attorney (issued by the Company or by its legal representative by way of delegation of his powers), delegate any of the aforementioned powers to the General Manager or such other employee of the Company as it sees fit. Any power of attorney issued by the Company or the Company's legal representative must state the donor of the power of attorney, the donee of the power of attorney, the matters subject to agency and the duration of the validity of the power of attorney.
9. SUPERVISORS
9.1 The Company shall have two (2) Supervisors appointed by the Investor. The term of office of each Supervisor shall be three years. A Supervisor may serve consecutive terms upon expiration of his term if re-elected. The position of Supervisor can not be held concurrently by any Director or other Management Personnel of the Company. If a Supervisor retires, resigns, falls ill or loses legal capacity, the successor of the Supervisor shall be appointed by the Investor and will serve the remaining term of office of the previous Supervisor.
9.2 The Supervisors of the Company shall exercise the following functions and powers:
(a) examining the Company's financial affairs;
(b) monitoring the acts of the Directors and Management Personnel when carrying out their duties in relation to the Company, and making proposals to remove from their positions the Director(s) or Management Personnel who violate laws, administrative regulations, these Articles or resolutions of the Investor;
(c) requiring the Director(s) or senior management personnel to rectify their conduct when any of their actions damage the interests of the Company;
(d) putting forward proposals to the Investor; and
(e) bringing lawsuits against Director(s) or Management Personnel in accordance with the law.
10. OPERATIONS AND MANAGEMENT
10.1 The Company shall adopt a management system under which the General Manager shall report to and work under the supervision and direction of the Board.
10.2 The General Manager shall be an individual of high integrity with appropriate qualifications and experience. The General Manager of the Company shall be nominated by the Investor and his appointment confirmed by the Board.
10.3 The General Manager shall be employed by the Company in accordance with the terms of an individual employment contract entered into between the General Manager and the Company and approved by the Board. Subject to the terms thereof, the General Manager may be rewarded, disciplined or removed by resolution of the Board.
10.4 The General Manager shall be responsible for all of the day-to-day operations and management of the Company, and shall carry out all other matters pursuant to such authority as may be granted to him by the Board from time to time.
10.5 The General Manager shall not bear any personal liability for any acts performed in good faith in his capacity as General Manager or as assigned by the Board, except for wilful misconduct, acts in violation of Applicable Laws or applicable internal Company rules, regulations and policies adopted by the Board from time to time. Subject to the foregoing, and to the extent permitted under Applicable Laws, the Company shall indemnify the General Manager against any claims that may be brought against him for acts performed in such capacity on behalf of the Company.
10.6 If required by the Company's business activities, the Company may appoint a Chief Financial Officer. If the Board decides to appoint a Chief Financial Officer, such person shall be employed by the Company in accordance with the terms of an individual employment contract entered into between the Chief Financial Officer and the Company and approved by the Board. Subject to the terms thereof, the Chief Financial Officer may be rewarded, disciplined or removed by resolution of the Board acting on the recommendations of the General Manager. In managing the day-to-day financial operations of the Company, the Chief Financial Officer shall work under the supervision and direction of the General Manager.
10.7 If required by the development of the Company's business activities, the Board may establish additional departments or management staff positions, such as the Deputy General Manager, and may designate the relevant officers responsible for such departments or holding such positions as Management Personnel. Management Personnel for such departments or positions shall be appointed by the Board, or, if so empowered by the Board, by the General Manager.
10.8 The General Manager shall be responsible for the preparation of the annual budget of the Company. The budget for each fiscal year shall be submitted to the i) Investor; or ii) the Board, in case it has the authorization from the Investor, for examination prior to 30 September of the preceding fiscal year or as determined by the Board and shall include information on matters including, but not limited to:
(a) the procurement of equipment and other capital expenditures of the Company;
(b) the sources of funds for the Company and how such funds are to be applied;
(c) plans with respect to the Company's business premises;
(d) the repair, operation and maintenance of the assets and equipment of the Company; and
(e) the estimated income and expenditures for the Company for the fiscal year covered by the business plan and budget.
The Investor, or the Board with the authorization from the Investor, shall complete its examination and, if adopted, approval of the plan and budget by 30 November of the year in which they are submitted.
10.9 The General Manager may formulate various internal rules, regulations and policies of the Company, including those relating to the custody of and procedures for using the Company chops, which shall take effect and be implemented on adoption by the Board, and which shall be made available to Personnel by the Company.
10.10 Management Personnel who wish to resign from the Company must submit their written resignation letter to the Board 30 days in advance.
10.11 The lawful after-Tax earnings of expatriate Personnel, including Personnel from the Hong Kong, Macao and Taiwan regions of China may be remitted out of China in accordance with, and subject to compliance with Applicable Laws relating to foreign exchange controls. The Company shall provide reasonable assistance with making such remittances and provide any documents required for such purpose.
11. SITE
11.1 The Company will conduct its business operations at its registered address and at such other locations as may be approved by the Board, subject to obtaining the approval from, or registration with the relevant government departments in accordance with Applicable Laws, providing that nothing in this section 11.1 shall be construed as limiting the geographical scope of any projects undertaken by the Company.
11.2 All contracts for the leasing of real property entered into by the Company shall be submitted with other required documents to the relevant real estate administration departments for registration as required under Applicable Laws.
12. LABOUR MANAGEMENT
12.1 Matters relating to the recruitment, employment, dismissal, resignation, wages, welfare and other matters concerning the staff and workers of the Company shall be determined autonomously by the Company without outside interference, in accordance with Applicable Laws and the internal rules, regulations and policies adopted by the Board from time to time.
12.2 The Company shall comply with Applicable Laws concerning labour protection and social welfare and ensure safe and civilized operation. Labour insurance and social welfare contributions for the Personnel shall be made in accordance with Applicable Laws.
12.3 The General Manager shall determine the professional and other qualifications and number of Personnel in accordance with the operating needs of the Company.
12.4 The General Manager shall formulate specific policies regarding the recruitment, dismissal, wages, labour insurance, welfare, rewards and penalties of the Company's Personnel, and shall submit such policies to the Board for approval.
12.5 The Company may recruit local and expatriate Personnel in accordance with Applicable Laws. Where applicable, the necessary formalities for the recruitment of PRC Personnel shall be handled with the labour and personnel departments in the relevant localities in accordance with Applicable Laws.
12.6 The Company shall openly recruit its Personnel. Candidates for a position may be required to take a written examination or an oral interview conducted by the General Manager or by a member of the Management Personnel authorised by him from time to time, and/or to provide satisfactory evidence of genuine and appropriate professional qualifications. New recruits who pass such examinations or interviews and/or have the corresponding professional qualifications shall be hired on a probationary basis for up to six months, subject to the probationary period not exceeding the longest permitted period stipulated under Applicable Laws. Upon satisfactory completion of the probationary period, the candidate shall be formally employed by the Company.
12.7 The Company shall adopt the employment contract system for all its Personnel. The Company shall enter into individual labour contracts with individual Personnel in accordance with Applicable Laws, including the PRC Labour Law and relevant local labour laws and regulations.
12.8 A labour contract entered into by the Company must, at a minimum, include the following items:
(a) the names of the relevant parties to it;
(b) the work tasks or duties to be carried out and the usual place of work;
(c) the duration of the labour contract (if for a fixed term);
(d) salary, welfare benefits, labour insurance, labour protection and labour discipline;
(e) conditions for termination of labour contract; and
(f) liability for breach of the labour contract.
Labour contracts must be filed at the relevant local labour bureau.
12.9 Without prejudice to the generality of Article 12.8, the contents of labour contracts entered into by the Company with its Personnel shall accord with the stipulations of Applicable Laws. Subject to Article 10.3 and 10.6 with respect to Board approval of the employment contracts of the General Manager and the Chief Financial Officer respectively, each labour contract shall be legally effective from the date of signing, unless expressly stated to the contrary. The parties to such labour contracts shall conscientiously perform their respective obligations thereunder. The term of a labour contract can be extended upon expiration if agreed to in writing by the parties thereto.
12.10 Working Personnel shall have the right to establish a Labour Union and to perform union activity in accordance with Applicable Laws. The Labour Union in the Company is representative of the interests of the Working Personnel. The tasks of the Labour Union are: to protect the democratic rights and material interests of the Working Personnel; to assist the Company in arranging and making rational use of welfare funds and bonuses; to conciliate in labour disputes; to organize, study and carry out activities for Working Personnel; and to educate Working Personnel to observe labour discipline and strive to fulfil the economic tasks of the Company.
12.11 Where the Board is considering and deciding on matters concerning Working Personnel such as rewards, punishments, the salary system, welfare benefits, labour protection and labour insurance, a representative from the Labour Union shall have the right to attend Board meeting in a non-voting observer capacity, and the Board shall listen to his opinions, and obtain the cooperation of the Labour Union in accordance with Applicable Laws governing the use of such funds.
12.12 The Company shall allocate each month funds equal to two percent (2%) of the total actual wages of its employees (or such other amount as may be required under Applicable Laws) as a fund to be used by the Labour Union.
12.13 The Company shall also enter into employment contracts with expatriate Personnel, the model contracts for which (if any) are to be approved by the Board.
12.14 The salaries and other remuneration of Working Personnel shall be determined by the Board based upon the recommendations of the General Manager as to the ability and skill of such staff and workers and with reference to Applicable Laws (including but not limited to those relating to the minimum wages guidelines promulgated by the relevant authorities and other Company policies in force from time to time. Such salary and other remuneration shall also be set forth in detail in the labour contract entered into with each such Working Personnel.
12.15 The salaries, social insurance, welfare benefits and other employment terms of the Management Personnel shall be decided by the Board.
12.16 Labour disputes shall be handled in accordance with the relevant provisions of the relevant labour contract and Applicable Laws.
13. FINANCIAL AFFAIRS AND ACCOUNTING
13.1 Accounting System
(a) The Chief Financial Officer of the Company (if any), under the supervision of the General Manager, shall be responsible for the financial management of the Company.
(b) The Chief Financial Officer (or if none appointed, the General Manager) shall prepare the accounting system and procedures in accordance with the Enterprise Accounting System and supplementary stipulations promulgated by the Ministry of Finance and other Applicable Laws. The accounting system and procedures to be adopted by the Company shall be submitted to the Board for approval. Once approved by the Board, the accounting system and procedures shall be filed with the department in charge of the Company and with the relevant local department of finance and the tax authorities for the record. The debit and credit method, as well as the accrual basis of accounting, shall be adopted as the methods and principles for keeping accounts.
(c) The Company shall adopt Renminbi as its bookkeeping base currency, but may also adopt United States Dollars or other foreign currencies as supplementary bookkeeping currencies. Treatment of exchange gains and losses arising from exchange rate differences shall accord with the accounting treatment for foreign currency transactions announced by the Ministry of Finance of the PRC and other Applicable Laws.
(d) All accounting records, vouchers, books and statements of the Company shall be made and kept in Chinese and English. The originals of such accounting books, records and statements of the Company shall be kept at the Company's legal address. Matters concerning how long such accounting books, records and statements shall be kept and the method of their ultimate disposal shall be handled in accordance with the relevant rules of the Ministry of Finance of the PRC and other Applicable Laws.
(e) For the purposes of preparing the Company's accounts and statements, calculation of declared dividends to be distributed to the Investor, and for any other purposes where it may be necessary to effect a currency conversion, such conversion shall be in accordance with the posted exchange rate, as determined by the median rate for buying and selling announced by the People's Bank of China or other legally recognized exchange rate on the date of actual receipt or payment.
13.2 Auditing
(a) The Company’s Independent Auditor shall be engaged by the Company as its auditor to examine and verify the annual financial report. The Company’s Independent Auditor shall be appointed and removed by the Board.
(b) Quarterly and annual financial statements, and such other reports as the General Manager and Chief Financial Officer may direct, shall be prepared and submitted to the Board. Such statements shall be in both Chinese and English and shall reference both RMB and any other supplementary bookkeeping currency adopted by the Company. Save as otherwise determined by the Board, the annual financial statements will include the following statements (including footnotes):
(i) balance sheet;
(ii) profit and loss statement;
(iii) statement of changes in financial position; and
(iv) profit distribution recommendations (if any).
(c) The quarterly financial statements shall be presented to the General Manager and the Board in sufficient time for the Board to approve them and then for the General Manager to arrange for their filing with the proper authorities. The annual financial statements shall be audited and presented to the General Manager and the Board within the first three (3) months of the succeeding year for approval by the Board. The annual financial statements shall be certified by the Independent Auditor in accordance with Applicable Laws. The General Manager shall file the certified annual financial statements with the proper authorities prior to the expiration of the fourth month of the next succeeding year.
13.3 Bank Accounts and Foreign Exchange Control
(a) The Company shall separately open a foreign exchange account with a designated foreign exchange bank and a Renminbi account at a duly licensed bank within China and may, subject to approval by the State Administration of Foreign Exchange, open an account in the name of the Company with a bank outside of China. The Company's foreign exchange transactions shall be handled in accordance with Applicable Laws relating to foreign exchange control.
(b) All cheques, drafts or other orders for payment of money, notes or other evidences of indebtedness, issued in the name of or payable by the Company, shall be signed or endorsed by such person or persons as shall be determined by the Board.
13.4 Fiscal Year
The Company shall adopt the calendar year as its fiscal year, which shall begin on January 1 and end on December 31 of the same year, except that the first fiscal year of the Company shall be deemed to have commenced on the Business License Issuance Date and shall be deemed to have ended on the immediately succeeding December 31.
13.5 Profit Distribution
(a) After the payment of enterprise income tax and other applicable Taxes by the Company, the Board will determine the annual appropriations to the reserve fund of the Company and the bonus and welfare fund for the relevant members of its Personnel from the after-tax net profits. When the reserve fund equals fifty percent (50%) of the Company's Registered Capital, no further allocations shall be made thereto unless the Board otherwise determines. Subject to the foregoing, and unless and until otherwise stipulated by Applicable Laws, the total amount set aside each year for the reserve fund shall be not less than 10 percent (10%) of the after-tax profits of the Company, and the aggregate allocations to all the foregoing funds shall not exceed fifteen percent (15%) of the Company's after-tax net profits in any fiscal year.
(b) The after tax net profit of the Company (after the deduction of the allocations to the funds mentioned in paragraph (a) above) shall be distributed to the Investor unless the Investor determines that such profits (or part thereof) shall be reinvested in the Company.
(c) If the Company is carrying cumulative losses from the previous years, the profits of the current year shall first be used to cover such losses. No profits shall be distributed by the Company unless the cumulative deficit from the previous years has been made up. The profit retained by the Company and carried over from previous years may be distributed together with the distributable profit of the current fiscal year after the deficit of the current fiscal year and/or any previous year (if any) is made up therefrom.
14. TAXATION
14.1 Income Tax, Customs Duties and Other Taxes
(a) The Company shall account for and pay all relevant Taxes required to be paid under Applicable Laws, in accordance with such Applicable Laws.
(b) Promptly following the Business License Issuance Date, or promptly following the first date the Company is eligible to do so under Applicable Laws, the Company will submit applications to the relevant government authorities for all available Tax concessions (if any).
(c) Both Chinese and expatriate Personnel shall pay Tax on their individual income and report to the PRC taxation authorities where required under Applicable Law, in accordance with the relevant provisions of Applicable Laws.
15. INTELLECTUAL PROPERTY
15.1 Any Intellectual Property Rights (other than those owned by or licensed by the Investor or its Affiliates or by any third party to the Company) arising in the course of Company's activities or developed by the Company shall belong to the Company.
15.2 The Board shall take reasonable measures to safeguard the Company's Intellectual Property Rights (including authorising relevant members or Personnel to make appropriate applications for registration where necessary for such purpose), and to ensure that the employees of the Company will enter into employment contracts which shall include customary and reasonable confidentiality, non-competition, protection of trade secrets and invention assignment provisions, so as to ensure that as far as possible under Applicable Laws, the benefit of all relevant Intellectual Property Rights (including all inventions by Personnel) shall be reserved to, and shall be the sole property of, the Company.
15.3 The Company shall use its best efforts to ensure that all documents in whatever media produced by the Company containing trade secrets or other confidential information shall bear the legend in bold type "Contains highly confidential information, do not distribute to any third party save with the prior written consent of the Company" or equivalent wording and the Company shall take special measures to securely store such documents and to limit the number of copies in circulation.
16. THE TERM
16.1 Term
The initial term of the Company shall be [fifty (50)] years, commencing from the Business License Issuance Date.
16.2 Extension
If the Investor approves the extension of the Term, the Company shall submit an application to the Examination and Approval Authority for approval to extend the term of the Company, including a resolution by the Investor approving such extension, no later than one hundred and eighty (180) days prior to the expiry of the Term. If such application is approved, these Articles shall continue in full force and effect during such extension term and references to "Term" in these Articles shall be construed as references to such extended term as may be approved by the Examination and Approval Authority.
17. TERMINATION, DISSOLUTION AND LIQUIDATION
17.1 Termination
(a) These Articles shall terminate upon expiration of the Term, unless extended pursuant to Article 16.2.
(b) These Articles may be terminated at any time prior to expiration of the Term by written notice by the Investor delivered to the Company by facsimile, telex, telegram or registered airmail at its legal address or telephone numbers.
(c) Without prejudice to the provisions of Article 17.1(b), the Investor or the Board (with the prior written authorization from the Investor) shall have the right to pass a resolution to terminate and liquidate the Company if any one of the following events occurs:
(i) the Company suffers heavy losses or is declared insolvent or is unable to pay its debts as they fall due;
(ii) because of events of force majeure, such as natural disasters, war, embargoes, acts of government, promulgation of new or revised laws or regulations, epidemic or other causes which can not be foreseen, prevented or overcome which have a material adverse impact on the finances, business, or development prospects of the Company and the causes of which cannot be removed within a reasonable period of time (as determined by the Investor or the Board (with the authorization from the Investor)), such that the Company is unable to develop its business or to operate profitably;
(iii) any material licence, permit, approval or qualification held by the Company is modified, rescinded, cancelled or cannot be renewed on expiration and such event has a material adverse impact on the ability of the Company to operate;
(iv) the Company is terminated in accordance with Applicable Laws due to violation of Applicable Laws; or
(v) the occurrence of any other event giving rise to termination, as stipulated in these Articles or under Applicable Laws.
(d) Where the Investor or the Board (with the prior written authorization from the Investor) resolves to terminate these Articles as aforesaid, the Board shall submit a unanimous dissolution application to the original Examination and Approval Authority for approval. Following such approval, such approved dissolution application shall be registered with the SAIC.
(e) Following such registration with the SAIC, the Company shall then be dissolved and liquidated in accordance with the relevant procedures under Applicable Laws, and the provisions of Article 17.2 below.
17.2 Liquidation
(a) Within fifteen (15) days following approval and registration of the dissolution application in accordance with Article 17.1(d), the Board shall appoint a liquidation committee which shall have the power to represent the Company in all legal matters. The liquidation committee shall perform its responsibilities in accordance with Applicable Laws, and the principles set out herein. In particular, the liquidation committee's duties shall include:
(i) notifying the relevant governmental authorities of the Company's name and address, its reasons for carrying out liquidation procedures, and the date of commencement of the liquidation;
(ii) publishing announcements and notifying creditors of the liquidation in accordance with Applicable Laws;
(iii) carrying out a full scope examination of the Company's assets, rights and liabilities, compiling a statement of assets and liabilities and a detailed list of assets, specifying the value and the valuation basis of such assets;
(iv) preparing the liquidation plan, and submitting the same to the Board for approval; and
(v) during the period of liquidation, representing the Company in bringing or defending any legal proceedings.
(b) The liquidation committee shall consist of three (3) members appointed by the Board. Members of the liquidation committee may be Directors, senior employees of the Company or relevant professionals. The members of the liquidation committee shall bear fiduciary responsibilities to the Company and comply in all respects with the requirements of Applicable Laws in the discharge of their duties. The liquidation committee shall act by majority vote following consultation, unless otherwise expressly stipulated under Applicable Laws.
(c) The liquidation committee shall appoint the Independent Appraiser to conduct a valuation of the Company’s assets on a current fair market value basis.
(d) Liquidation expenses and the remuneration of the members of the liquidation committee shall be paid in priority out of the Company's remaining assets, save where otherwise required under Applicable Laws.
(e) On completion of all liquidation procedures in accordance with Applicable Laws, the liquidation committee shall submit a final report to the Investor for confirmation. Following such confirmation by the Investor, the report shall be submitted to the Examination and Approval Authority for the record. The liquidation committee shall then carry out all de-registration procedures in accordance with Applicable Laws. The Investor shall have a right to obtain copies of all of the Company's accounting books and other documents at its own expense, but the originals thereof shall be left in the care of the Examination and Approval Authority or as otherwise provided under Applicable Laws.
17.3 Continuing Obligations
The provisions of Article 8 (Board of Directors) (but only in respect of the Board's actions required to be taken following termination of these Articles and prior to de-registration of the Company) and Article 16 (Term), Article 17 (Termination, Dissolution and Liquidation), Article 18 (Applicable Law) and Article 20 (Miscellaneous Provisions) as well as the provisions of Schedule A (Definitions) (but only to the extent required for the interpretation of the aforesaid provisions), shall survive the termination of these Articles.
18. APPLICABLE LAW
The validity, interpretation, performance, amendment and termination of these Articles of Association shall be governed by and construed in accordance with Applicable Laws.
19. INTERNAL RULES AND REGULATIONS OF THE COMPANY
19.1 The Board (or the General Manager where so authorised in writing by the Board) may formulate additional detailed internal rules and regulations in relation to the following matters relating to the Company:
(a) Management regulations, including the powers and functions of the managerial organisation and its working rules and procedures;
(b) Rules for Personnel matters;
(c) Labour and salary systems and scales;
(d) Systems for recording work attendance, promotions and rewards and penalties for Personnel;
(e) Detailed rules for staff and workers' welfare benefits;
(f) Financial and accounting systems;
(g) Liquidation procedures upon the dissolution of the Company; and
(h) Other rules and regulations as may be required by the Company's business activities or internal management needs.
20. MISCELLANEOUS PROVISIONS
20.1 Language
These Articles are prepared in the Chinese language in three (3) originals and in the English language in three (3) originals. Both language versions shall have equal legal effect.
20.2 Effective Date
These Articles shall become effective on the date they are duly approved by the Examination and Approval Authority. Any amendments to these Articles of Association must be approved by resolution of the Investor, and approved by the Examination and Approval Authority before coming into effect.
20.3 Signing Place and Date
These Articles are hereby executed in [Jiangsu Province], China by the authorised representative of the Investor as of the date set out above.
20.4 Conflict with Applicable Laws
To the extent these Articles conflict with, or are inconsistent with Applicable Laws, the provisions of Applicable Laws shall prevail.
20.5 Schedules and Appendices
The Schedules and Appendices hereto are made an integral part of these Articles and are equally binding with these Articles 1 through 20.

DEFINITIONS
1. Unless the terms or context of these Articles otherwise provide, the following terms shall have the meanings set out below:
"Affiliate(s)" means any legal person(s) or other entity controlling (directly or indirectly), controlled by or under common control with the Investor. For the purposes of this definition, ‘control’ means direct or indirect beneficial ownership of 50% of the share capital, stock or other participating interest carrying the right to vote or to distribution of profits of that entity or person, as the case may be.
"Applicable Law(s)" means (national or local) laws, regulations, rules, notices, and other legislative, executive or judicial decisions or pronouncements of the PRC which are applicable to the Investor and/or the Company in relation to the subject matter of these Articles, are currently in force and are publicly promulgated and available and, for the avoidance of doubt, includes a reference to the PRC Wholly Foreign-Owned Enterprise Law and the PRC Wholly Foreign-Owned Enterprise Law Implementing Rules.
“Approval Certificate” means the approval certificate for the Company issued by the Examination and Approval Authority following approval of these Articles.
"Board" means the Board of Directors of the Company as constituted from time to time.
"Business Licence" means the first PRC enterprise legal person business licence issued by SAIC to the Company.
"Business Licence Issuance Date" means the date of issue of the Business Licence.
"Capital Contributions" means the capital contributions agreed to be made by the Investor to the Registered Capital of the Company as set out in Schedule B.
"Chief Financial Officer" means the Chief Financial Officer as may be appointed by the Board pursuant to Article 10.6.
“China” or “PRC” mean the People’s Republic of China, excluding, for these purposes, the Hong Kong and Macau SARs and Taiwan.
"Company" means [WFOE Name in English ("WFOE Name in Chinese")].
"Deputy General Manager" means any deputy general manager of the Company as may be appointed by the Board Pursuant to Articles 10.7.
"Director" means any director of the Company for the time being as may be appointed by the Investor pursuant to Article 8.1, and includes a reference to any proxy duly appointed by a Director from time to time in accordance with these Articles during the period for which such proxy is in force.
"Effective Date" means the effective date of these Articles, being the date on which these Articles are approved by the Examination and Approval Authority.
"Examination and Approval Authority" means the MOFCOM, its authorised local organs, or any other authority authorised (directly or indirectly) by MOFCOM to approve, pursuant to Applicable Laws:
(i) these Articles and/or any amendments thereto; and/or
(ii) any subsequent change to the Company, such as transfer of equity, merger, split, increase and decrease of capital etc. (as the case may be).
"General Manager" means the general manager of the Company.
“Independent Appraiser” means an independent and competent appraiser registered in China and qualified to perform appraisals of the Company's assets under Applicable Laws, as selected by the Company’s Independent Auditor on request by the Investor.
“Independent Auditor” means the internationally recognized independent and competent accountant or accountancy firm registered in China appointed by the Board as the Company’s independent auditor.
"Intellectual Property Rights" includes patents, utility models, trade marks, service marks, registered designs, unregistered design rights, copyrights, moral rights, technical drawings, business names, database rights, Internet domain names, brand names, computer software programmes and systems, know how, trade secrets, inventions, confidential information and other industrial or commercial intellectual property rights whatsoever and wheresoever and whether registered or capable of registration or not and all applications for registration or protection of the foregoing.
"Investment Certificate" means a certificate issued by the Company to any person in accordance with the provisions of Article 5.6, in respect of any capital contribution made by that person to the Company.
"Labour Union" means the association consisted of, and set up by employees of the Company in exercise of their statutory right under, and in accordance with, the PRC Labour Union Law.
"Management Personnel" means, the General Manager, the Deputy General Manager (if any), the Chief Financial Officer (if any) and any other employees designated as such by the Board from time to time.
“Material Modification” means a modification (including by means of the imposition of additional terms and conditions) by the relevant government departments to, as the case may be, these Articles or the intended revised business scope of the Company, as agreed or anticipated by the Investor, which in the opinion of the Investor, will have a material adverse effect on the ability of the Company to achieve the economic and operational objectives of the Investor.
"MOFCOM" means the PRC Ministry of Commerce or its relevant local or authorised organs (as the context may require).
“MOFTEC” means the former Ministry of Foreign Trade and Economic Co-operation (now merged into MOFCOM).
"Personnel" means the Management Personnel and Working Personnel collectively.
"Registered Capital" means the registered capital of the Company.
"Renminbi" or "RMB" means the lawful currency of China for the time being.
"SAIC" means the PRC State Administration for Industry and Commerce of China or its relevant local organs (as the context may require).
"Supervisor" means any supervisor of the Company for the time being, as appointed by the Investor.
"Tax" or "Taxes" means any and all applicable tax or taxes (including any value added tax business or sales tax, stamp or other duty, levy, impost, charge, fee, deduction, or withholding of any nature and howsoever called or described) imposed, levied, collected or assessed by whomsoever and wheresoever under the Applicable Law.
“Term” means the operating term of the Company as renewed or extended from time to time.
"United States Dollars" or "USD" means the lawful currency of the United States of America for the time being.
"Vice-Chairman" means the officer as may be appointed by the Investor in accordance with Article 8.1(d).
"WFOE" means wholly foreign owned enterprise.
"WFOE Law" means the Wholly Foreign Owned Enterprise Law first passed by the National People's Congress on 12 April 1986.
"WFOE Law Implementing Rules" means the Wholly Foreign Owned Enterprise Law Implementing Rules first approved by the State Council on 28 October 1990.
"Working Personnel" means all employees and staff of the Company other than the Management Personnel.
2. References to Schedules, Appendices, Articles and paragraphs are references to schedules, appendices, articles and paragraphs of these Articles.
3. References in these Articles to laws, rules or regulations or other normative documents shall mean the same as amended from time to time.
4. References to documents, contracts or agreements in these Articles shall be deemed to include references to such documents, contracts or agreements as amended or restated from time to time.
5. In these Articles, the masculine form includes the feminine form, the singular form includes the plural form and vice versa, and a gender includes all genders.
6. Headings of Articles are for convenience of reference only and shall not affect the construction or interpretation of these Articles.
7. A reference to the Chairman, the General Manager, the Deputy General Manager, the Vice-Chairman, the Chief Financial Officer and/or any other officeholder within the Company means the person appointed in accordance with these Articles and holding such position in the Company from time to time.
8. A reference to any PRC government authority or department includes such authority or department at State, provincial, municipal or other levels (as applicable). References to government ministries, bureaus, departments, commissions, agencies, etc. shall include a reference to all successor authorities thereto assuming authority for the relevant administrative function in question.
9. The words "includes" or "including" or cognate terms mean "includes without limitation" or "including without limitation", and references thereto shall be construed accordingly.

CAPITAL CONTRIBUTION SCHEDULE
Investor’s Capital Contributions to the Registered Capital of the Company shall be in the amount of Three Million United States Dollars (USD 3,000,000) and shall be made in United States Dollars cash.
Investor shall make its contribution to the Registered Capital of the Company as follows:
Investor will contribute cash with a value of no less than 15% of the Registered Capital of the Company within 90 days after the issuance of the Business License of the Company, with the remainder to be paid in within two (2) years.

4. CEL, ZAKRES I SKALA DZIAŁANIA
4.1 Celem Spółki jest wykorzystanie atutów inwestycyjnych, administracyjnych, operacyjnych i marketingowych Inwestora w celu osiągnięcia dobrych wyników ekonomicznych oraz zwrotu z inwestycji satysfakcjonującego Inwestora.
4.2 Zakres działalności Spółki będzie obejmował [_________________________________].

(b) zawierania wszelkich innych umów z wszelkimi osobami, jednostkami lub organizacjami istniejącymi zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie lub z przepisami wszelkich innych krajów lub regionów w celu zapewnienia skutecznego działania Spółki, łącznie z umowami na dostawę usług komunalnych, siły roboczej, mebli, urządzeń, sprzętu, maszyn i wszelkich innych dostaw;
(c) pożyczania pieniędzy i udzielania gwarancji związanych z celami Spółki oraz, od czasu do czasu, bez ograniczeń co do sumy, trasowania, wystawiania, przyjmowania, indosowania i wykonywania weksli oraz innych dokumentów dyspozycyjnych i dokumentów niezbywalnych oraz dokumentów potwierdzających zadłużenie zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie;
(d) zabezpieczania spłaty wymienionych wyżej instrumentów oraz należnych odsetek poprzez obciążanie hipoteką, ustanawianie zastawu oraz innych zabezpieczeń na całości lub części majątku Spółki zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie;
(e) prowadzenie działalności w związku z powyższym oraz prowadzenie części lub wszystkich opisanych wyżej działań;
(f) wykupywania i utrzymywania wszystkich koniecznych polis ubezpieczeniowych chroniących Spółkę i jej aktywa zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie;
(g) prowadzenia wszelkich innych prawnie dozwolonych działań w ramach zaaprobowanej działalności Spółki lub działań od czasu do czasu w inny sposób zaaprobowanych zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie;
(h) otwierania i obsługi rachunków w bankach wybranych przez Spółkę w ChRL lub za granicą zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie; oraz
(i) z zachowaniem Obowiązujących Przepisów Mających Zastosowanie, w imieniu Inwestora i za jego uprzednią pisemną zgodą, zawierania wybranych umów joint-venture, umów o współpracę lub umów handlowych w ChRL lub za granicą z możliwością wyznaczania osoby trzeciej jako zastępcy korzystającego z praw Spółki i wypełniającego jej zobowiązania zgodnie z tymi umowami.
5. CAŁKOWITA INWESTYCJA I KAPITAŁ ZAKŁADOWY
5.1 Kapitał Zakładowy Spółki wynosi 3.000.000 USD (trzy miliony dolarów amerykańskich).
5.2 Całkowita suma inwestycji Spółki wynosi 6.000.000 USD (sześć milionów dolarów amerykańskich).
5.3 Wniesienie Kapitału
(a) Inwestor wniesie sumę 3.000.000 USD (trzech milionów dolarów amerykańkich) jako wpłatę Kapitału Zakładowego, co będzie stanowiło udział w wysokości 100% (stu procent) Kapitału Zakładowego Spółki.
(b) Inwestor wniesie swój Kapitał Zakładowy gotówką w dolarach amerykańskich.
5.4 Wniesienie Kapitału Zakładowego; Warunki Poprzedzające
(a) Z zachowaniem postanowień Artykułu 5.4(b) poniżej, Inwestor dokona swoich Wpłat Kapitału Zakładowego Spółki zgodnie z terminarzem zawartym w Harmonogramie B.
(b) Inwestor nie będzie w żaden sposób zobowiązany do dokonania Wpłat Kapitału Zakładowego Spółki do czasu aż odbierze wszystkie wymienione poniżej dokumenty:
(i) kopia Certyfikatu Aprobaty zatwierdzającego ten Statut oraz inne dokumenty aplkacyjne potrzebne do utworzenia Spółki bez Istotnych Modyfikacji; oraz
(ii) kopii Licencji Handlowej zawierającej zakres działalności opisanej w Artykule 4.2 bez Istotnych Modyfikacji.
(c) Jeśli Certyfikat Aprobaty lub Licencja Handlowa (każdy z nich będący “Dokumentem Aprobującym”) zostaną wydane z Istotną Modyfikacją, Inwestor zdecyduje czy:
(i) zaakceptować taką Istotną Modyfikację i zrzec się odpowiedniego warunku zawieszającego określonego w Artykule 5.4(b); lub
(ii) skierować do odpowiednich departamentów rządowych podania z prośbą o poprawienie takiego Dokumentu Aprobującego i o jego ponowne wydanie w formie zawierającej poprawkę Istotnej Modyfikacji w sposób satysfakcjonujący Inwestora.
Ponadto, jeśli Certyfikat Aprobaty zostanie wystawiony z Istotną Modyfikacją i Inwestor nie godzi się na zaakceptowanie takiej modyfikacji oraz na zrzeczenie się odpowiedniego warunku zawieszającego, Spółka nie złoży podania do SAIC o wydanie Licencji Handlowej do czasu aż taka Istotna Modyfikacja zostanie naprawiona w sposób satysfakcjonujący Inwestora.
(d) W przypadku, gdy:
(i) jakiś Dokument Aprobujący nie zostanie wydany w ciągu 90 (dziewięćdziesięciu) dni od daty złożenia odpowiedniego podania; lub
(ii) w jakimś Dokumencie Aprobującym pojawi się Istotna Modyfikacja, która nie zostanie zaakceptowana przez Inwestora i nie może być naprawiona w sposób opisany w powyższym Artykule 5.4(c) w ciągu 90 (dziewięćdziesięciu) dni od daty wystawienia takiego oryginalnego Dokumentu Aprobującego;
i Inwestor nie zgadza się na zrzeczenie odpowiedniego warunku zawieszającego opisanego w Artykule 5.4(b) lub na przedłużenie potrzebnego czasu, wtedy Inwestor będzie miał prawo do natychmiastowego unieważnienia tego Statutu. Następnie Inwestor złoży podanie o odwołanie aprobaty utworzenia Spółki.
5.5 Rejestracja Spółki
Z zachowaniem postanowień zawartych w Artykule 5.4 powyżej, Spółka złoży podanie do SAIC o rejestrację i wydanie Licencji Handlowej w ciągu 30 (trzydziestu) dni od wydania Certyfikatu Aprobaty. Po wydaniu Licencji Handlowej, Spółka bezzwłocznie złoży podanie o dokonanie wszystkich odpowiednich rejestracji po utworzeniu spółki oraz o wydanie zaświadczeń takich, jak rejestracja podatkowa na szczeblu lokalnym i krajowym, zaświadczenie o rejestracji dewizowej itp.
5.6 Certyfikaty Inwestycyjne
(a) W przypadku, gdy Inwestor wniósł całość lub część Kapitału Zakładowego do Spółki, zarejestrowany w Chinach księgowy wyznaczony przez Zarząd i uprawniony do weryfikacji kapitału wniesionego do Spółki dokona odpowiedniej weryfikacji i sporządzi sprawozdanie z weryfikacji wniesienia kapitału. Na podstawie takiego sprawozdania, Spółka wyda Inwestorowi Certyfikat Inwestycyjny.
(b) Tymczasowy certyfikat zostanie wydany w odniesieniu do każdego częściowego wniesienia Kapitału przez Inwestora. Po wniesieniu całego Kapitału przez Inwestora, wszelkie tymczasowe certyfikaty zostaną zwrócone Spółce w celu ich unieważnienia i zostanie wydany ostateczny Certyfikat Inwestycyjny. Wszelkie tymczasowe lub ostateczne Certyfikaty Inwestycyjne będą podpisane przez Prezesa Zarządu, oznaczone przez Spółkę i będą podawały sumę wniesioną przez Inwestora oraz datę wniesienia takiego kapitału.
(c) Jeśli Certyfikat Inwestycyjny zostanie zgubiony, skradziny, uszkodzony lub zniszczony, Inwestor lub osoba, której taki certyfikat został przekazany lub przydzielony zgodnie z tym Statutem, niezwłocznie skieruje pisemne sprawozdanie do Zarządu. Po zbadaniu i zaaprobowaniu tego sprawozdania, Rada unieważni stary certyfikat i wyda nowy Certyfikat Inwestycyjny takiemu Inwestorowi lub takiej osobie.
5.7 Przeniesienie Kapitału Zakładowego
Inwestor może sprzedać, przekazać osobie trzeciej lub w inny sposób zadysponować (w każdym przypadku “przenieść”) całością lub częścią swojego udziału w Kapitale Zakładowym Spółki tylko za zgodą Organu Kontrolnego i Zatwierdzającego. Po uzyskaniu takiej zgody od Organu Spółka zarejestruje zmiany własnościowe w SAIC. Wszystkie zmiany własnościowe będą dokonywane zgodnie z Przepisami dotyczącymi zmian w udziałach inwestorów w przedsiębiorstwach z kapitałem zagranicznym wydanymi przez MOFTEC oraz SAIC dnia 28 maja 1997 roku (“Zmiany w Przepisach Dotyczących Udziałów FIE”) oraz innymi Obowiązującymi Przepisami Mającymi Zastosowanie.
5.8 Obciążenie hipoteczne inwestycji
Inwestor może obciążyć hipoteką, zastawić lub w inny sposób obciażyć swoje udziały w Kapitale Zakładowym Spółki, pod warunkiem stosowania się do Zmian w Przepisach Dotyczących Udziałów FIE oraz w innych Obowiązujących Przepisach Mających Zastosowanie.
5.9 Zgody rządowe
W przypadku, gdy Spółka, za zgodą Inwestora, będzie brała udział w fuzji, podziale lub innych zasadniczych zmianach, zwróci sie do Organu Kontrolnego i Zatwierdzającego o zgodę i po otrzymaniu takiej zgody przeprowadzi procedury zmierzające do zarejestrowania takich zmian w SAIC.
5.10 Zwiększenie lub zmniejszenie Kapitału Zakładowego
Wszelkie zwiększenie Kapitału Zakładowego Spółki musi być zaaprobowane przez Inwestora oraz musi zostać zaaprobowane przez Organ Kontrolny i Zatwierdzający. Po uzyskaniu takiej zgody Spółka zarejestruje zwiekszenie lub zmniejszenie kapitału w SAIC.
5.11 Dodatkowe finasowanie
Saldo całkowitej kwoty inwestycji (stanowiącej różnicę między Kapitałem Zakładowym określonym w Artykule 5.1 a całkowitą kwotą inwestycji określoną w Artykule 5.2) Spółka może uzyskać poprzez pożyczki zaciągnięte w Chinach lub poza granicami Chin.
6. SPRZEDAŻ TOWARÓW I/LUB USŁUG
6.1 Spółka może dostarczać towary i/lub świadczyć usługi w ramach zaprobowanego zakresu swojej działności klientom na wewnętrznym rynku ChRL i/lub rynku międzynarodowym.
7. AKCJONARIUSZ
7.1 Inwestor jako jedyny akcjonariusz Spółki sprawuje w Spółce najwyższą władzę. Akcjonariusz będzie pełnił następujące funkcje i będzie posiadał następujące uprawnienia:
(a) podejmowanie decyzji dotyczących polityki handlowej i planów inwestycyjnych Spółki;
(b) wybieranie i zastępowanie Dyrektorów i Osób Nadzorujących oraz podejmowanie decyzji dotyczących spraw związanych z wynagradzaniem takich osób;
(c) rozpatrywanie i zatwierdzanie sprawozdań Zarządu;
(d) rozpatrywanie i zatwiedzanie sprawozdań Osób Nadzorujących;
(e) rozpatrywanie i zatwierdzanie proponowanych rocznych budżetów finansowych Spółki oraz końcowych sprawozdań;
(f) rozpatrywanie i zatwierdzanie planów dotyczących podziału zysku Spółki oraz planów dotyczących pokrycia strat;
(g) przyjmowanie uchwał na temat podnoszenia i zmniejszania Kapitału Zakładowego Spółki;
(h) podejmowanie uchwał dotyczących emisji akcji spółki;
(i) przyjmowanie uchwał dotyczących takich spraw, jak fuzja, podział, rozwiązanie, likwidacja lub zmiana formy korporacyjnej Spółki;
(j) wprowadzanie zmian do statutu Spółki;
(k) przeniesienie dowolnej istotnej części aktywów Spółki na osobę trzecią;
(l) przedłużenie Okresu oraz zmiana zakresu działalności;
(m) ustanawianie hipoteki, zastawu lub innego rodzaju obciążeń na aktywach Spółki lub udzielanie wszelkich gwarancji finansowych Spółki na zobowiązania wszelkich osób trzecich; oraz
(n) inne ważne sprawy, które zdaniem Inwestora należy rozstrzygnąć poprzez podjęcie uchwały.
7.2 Prawo do przekazywania uprawnień
Inwestor może na podstawie uchwały lub upoważnienia (udzielonego przez Inwestora w drodze przekazania uprawnień) przekazać każde ze wspomnianych wcześniej uprawnień Zarządowi Spółki według uznania. Każde upoważnienie udzielone przez Inwestora musi wymieniać osobę udzielającą pełnomocnictwa, osobę otrzymującą pełnomocnictwo, sprawy wchodzące w zakres pełnomocnictwa oraz okres jego ważności.
8. RADA DYREKTORÓW
8.1 Utworzenie Rady
(a) Rada została utworzona w Dniu Wydania Licencji Handlowej.
(b) Rada będzie składać się z 3 (trzech) Dyrektorów mianowanych przez Inwestora.
(c) Każdy Dyrektor może być wyznaczony na okres 3 (trzech) lat i może pełnić funkcję w następnych kadencjach, jeśli zostanie ponownie mianowany przez Inwestora. Dyrektor może być usunięty przez Inwestora przy pomocy pisemnego zawiadomienia wysłanego do Spółki przez faksymile, teleks, telegram lub polecony list lotniczy na adres jej prawnej siedziby lub numer telefonu faksymile. Jeśli stanowisko Dyrektora zostanie zwolnione w wyniku przejścia na emeryturę, rezygnacji, choroby, kalectwa lub śmierci Dyrektora lub w wyniku usunięcia Dyrektora przez Inwestora, Inwestor wyznaczy zastępcę na pozostałą kadencje Dyrektora. Inwestor będzie ponosił odpowiedzialność za wszelkie roszczenia wniesione przez usuniętego Dyrektora (dotyczące utraty stanowiska lub innych spraw), natomiast Spółka będzie odpowiadać za wszelkie roszczenia dotyczące Dyrektorów, którzy zajmują również stanowiska pracowników, jeśli chodzi o rozwiązanie ich umowy o pracę (w zależności od tego, co będzie właściwe). Spółka i Inwestor (stosownie do okoliczności) wypełnią odpowiednie dokumenty wymagane do zarejestrowania wynikających zmian w odpowiednim oddziale SAIC oraz w siedzibach innych władz zgodnie z wymogami Obowiązujących Przepisów Mających Zastosowanie.
(d) Dyrektor wybrany przez Inwestora będzie pełnił funkcję Przewodniczącego Rady (“Przewodniczący”). Przewodniczący będzie prawnym przedstawicielem Spółki. Przewodniczący może jednocześnie pełnić funkcję urzędnika lub pracownika Spółki. Inwestor może również wyznaczyć innego Dyrektora na stanowisko Wiceprzewodniczącego.
(e) Wszystkie poniesione w rozsądnych granicach i konieczne wydatki Przewodniczącego i innych Dyrektorów, takie jak powrotne bilety lotnicze lub wydatki na hotele przydzielone przez Radę w celu pełnienia obowiązków będą ponoszone lub zwracane przez Spółkę zgodnie z jej polityką i wydawanymi od czasu do czasu przez Radę wskazówkami po przedstawieniu oryginalnych rachunków i voucherów.
(f) Żaden Dyrektor nie poniesie żadnej osobistej odpowiedzialności za żadne działania podjęte w dobrej wierze podczas pełnienia funkcji Dyrektora lub wykonywania obowiązków przydzielonych przez Radę z wyjątkiem rozmyślnego zaniedbania obowiązków, działań naruszających Obowiązujące Przepisy Mające Zastosowanie lub odpowiednie przepisy wewnętrzne oraz przepisy i politykę Spółki od czasu do czasu zatwierdzaną przez Radę. Z zachowaniem tych postanowień, Spółka w zakresie dopuszczalnym przez Obowiązujące Przepisy Mające Zastosowanie ubezpieczy każdego Dyrektora od wszelkich roszczeń, jakie mogą być wniesione wobec takiego Dyrektora z powodu działań podjętych przez niego podczas pełnienia obowiązków Dyrektora.
8.2 Posiedzenia Rady
(a) Przyjęcie uchwał dotyczących spraw związanych ze Spółką będzie wymagało głosowania zatwierdzającego oddanego przez zwykłą większość Dyrektorów obecnych osobiście, przez przedstawiciela lub przy pomocy środków porozumiewania się na odległość na właściwie zwołanym posiedzeniu Rady. Wyjątkiem będą sprawy, gdzie wymagane jest podjęcie jednomyślnej uchwały zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie lub tym Statutem (jeśli zawiera on takie zapisy). W przypadku, gdy Organ Kontrolny i Zatwierdzający wymaga podjęcia jednomyślnej uchwały w celu podjęcia jakichś działań administracyjnych, będzie to uważane za wymóg zgodny z Obowiązującymi Przepisami Mającymi Zastosowanie i przepisy tego Statutu będą zgodnie z tym interpretowane.
(b) W przypadku, gdy Obowiązujące Przepisy Mające Zastosowanie lub ten Statut wymagają, żeby jakaś uchwała była uchwalona “jednomyślnie”, z wyjątkiem przypadków, gdzie Obowiązujące Przepisy Mające Zastosowanie wyraźnie stwierdzają inaczej, będzie to interpretowane jako konieczność przyjęcia uchwały jednomyślnie przez wszystkich członków Rady obecnych osobiście, przez przedstawiciela lub poprzez środki porozumiewania się na odległość na właściwie zwołanym posiedzeniu Rady, na którym stwierdzono kworum. Możliwe jest również jednomyślne przyjęcie takiej uchwały poprzez złożenie podpisu przez wszystkich Dyrektorów Spółki lub przyjęcie jej w inny sposób określony w Artykule 8.2(i) tego Statutu.
(c) Pierwsze posiedzenie Rady odbędzie się w ciągu 30 (trzydziestu) dni od Dnia Wydania Licencji Handlowej. Następnie posiedzenia Rady będą odbywać się przynajmniej raz w roku kalendarzowym. Na ogół posiedzenia będą odbywać się w prawnej siedzibie Spółki lub w innym miejscu w Chinach lub za granicą wyznaczonym przez Przewodniczącego.
(d) Przewodniczący ustali porządek obrad i będzie odpowiedzialny za zwoływanie posiedzeń i przewodniczenie posiedzeniom. Pod nieobecność Przewodniczącego lub w przypadku, gdy Przewodniczący z jakichś powodów nie będzie w stanie pełnić swojej funkcji, jego obowiązki będzie wykonywał Wiceprzewodniczący lub inny Dyrektor wyznaczony przez Przewodniczącego.
(e) Pisemne zawiadomienie o każdym posiedzeniu Rady musi zostać wysłane przez Przewodniczącego do każdego z Dyrektorów przez faksymile, teleks, telegram lub polecony list lotniczy na ich ostatni znany adres lub numery kontaktowe (lub taki inny adres albo numer kontaktowy, jaki od czasu do czasu Dyrektor może pisemnie określić) nie później niż 14 dni kalendarzowe przed takim posiedzeniem. Takie zawiadomienie będzie określało datę i miejsce oraz będzie zawierało porządek spotkania. Termin zawiadomienia o posiedzeniu Rady może być skrócony lub można z niego zrezygnować za jednomyślną zgodą wszystkich Dyrektorów. Zawiadomienie o posiedzeniu Rady będzie uważane za właściwie dostarczone każdemu Dyrektorowi uczestniczącemu w spotkaniu, który przed rozpoczęciem spotkania lub w chwili jego rozpoczęcia nie wniesie protestu z powodu niedostarczenia mu zawiadomienia o posiedzeniu.
(f) Dyrektorzy mogą być obecni na spotkaniu Rady osobiście, przez przedstawiciela lub poprzez środki porozumiewania się na odległość. Dwóch (2) Dyrektorów obecnych osobiście, przez przedstawiciela lub poprzez środki porozumiewania się na odległość będzie stanowić kworum konieczne do załatwienia spraw na spotkaniu Rady, pod warunkiem że żadne posiedzenie nie może się w sposób wiążący odbyć przy obecności 1 (jednego) Dyrektora działającego samodzielnie zarówno na własny rachunek jak i w charakterze pełnomocnika innych Dyrektorów.
(g) Jeśli Dyrektor nie może uczestniczyć w spotkaniu Rady osobiście lub poprzez środki porozumiewania się na odległość, może pisemnie wyznaczyć swojego pełnomocnika (również innego Dyrektora) i powierzyć mu zadanie uczestniczenia w posiedzeniu w jego imieniu. Taki przedstawiciel będzie miał takie same prawa i uprawnienia jak Dyrektor, o ile w dokumencie wyznaczającym go na pełnomocnika nie stwierdzono inaczej. Taki przedstawiciel przedstawi swoje pisemne pełnomocnictwo Przewodniczącemu przed rozpoczęciem spotkania Rady i Przewodniczący załączy takie pełnomocnictwo do protokołu z posiedzenia Rady.
(h) Posiedzenia Rady będą odbywały się w języku [angielskim].
(i) Zamiast przyjmowania uchwał na regularnych lub doraźnych posiedzeniach Rady, możliwe jest przyjęcie pisemnej uchwały przez Radę, jeśli taka uchwała zostanie przesłana do wszystkich Dyrektorów i zostanie potwierdzona podpisami takiej liczby Dyrektorów, jaka mogłaby przyjąć taką uchwałę na właściwie zwołanym posiedzeniu Rady.
(j) Przewodniczący jako prawny przedstawiciel Spółki jest osobą, która zgodnie z tym Statutem, ma prawo reprezentować Spółkę w interesach prowadzonych z osobami trzecimi. Jeśli prawny przedstawiciel nie jest w stanie wykonywać swoich uprawnień, wyznaczy na piśmie swojego przedstawiciela, który będzie mógł wykonać takie uprawnienia w jego imieniu. Żaden Dyrektor lub inny urzędnik Spółki nie będzie miał prawa do zobowiązywania Spółki, jeśli nie otrzyma pisemnego upoważnienia wyraźnie udzielonego przez uchwałę Rady zaaprobowaną zgodnie z postanowieniami tego Statutu lub jeśli nie zostanie pisemnie wyznaczony jako przedstawiciel prawnego przedstawiciela.
8.3 Uprawnienia Rady
Uprawnienia Rady będą obejmować:
(a) realizację uchwał Inwestora;
(b) formułowanie proponowanych rocznych budżetów finansowych i końcowych sprawozdań Spółki;
(c) formułowanie planów podziału zysku i pokrycia strat w Spółce;
(d) formułowanie planów zwiększenia lub zmniejszenia Kapitału Zakładowego lub emisji akcji spółki;
(e) formułowanie planów dotyczących fuzji, podziału, rozwiązania lub zmiany formy korporacyjnej Spółki;
(f) podejmowanie decyzji dotyczących udziału w przedsięwzięciach typu joint venture lub decyzji dotyczących inwestycji w inne jednostki prawne albo nabycia udziałów w innej jednostce prawnej lub aktywów takiej jednostki;
(g) otwieranie rachunków bankowych Spółki i wyznaczanie Niezależnego Audytora Spółki;
(h) podejmowanie decyzji dotyczących tworzenia bankowych ułatwień kredytowych lub zaciągania pożyczek przez Spółkę;
(i) dokonywanie przeglądu i akceptowanie polityki Spółki oraz procedur dotyczących zarządzania rachunkami finansowymi, wykonywania dokumentów prawnych i innych ważnych spraw;
(j) ustalanie wysokości i terminu przydzielania i wykorzystywania funduszy rezerwowych, funduszu przeznaczonego na rozszerzanie działalności oraz pracowniczego funduszu premii i zasiłków z zachowaniem minimalnych wymagań zgodnych z Obowiązującymi Przepisami Mającymi Zastosowanie;
(k) dokonywanie przeglądu i akceptacja planów handlowych i innych planów Spółki;
(l) ustalanie i wprowadzanie wszelkich zmian w systemie wynagradzania kierownictwa Spółki;
(m) otwieranie i zamykanie wszelkich filii lub przedstawicielstw Spółki;
(n) wyznaczanie, wynagradzanie oraz zwalnianie Dyrektora Naczelnego (nominowanego przez Inwestora), Zastępcy Dyrektora Naczelnego, Głównego Urzędnika Finansowego oraz innych członków Zarządu;
(o) zmiana nazwy przedsiębiorstwa lub adresu biura Spółki oraz składanie podań w imieniu Spółki o przyznanie wszelkich kwalifikacji, wydanie pozwoleń lub licencji wymaganych przy prowadzeniu działalności Spółki;
(p) prowadzenie działań prawnych oraz procedur rozwiązywania sporów (łącznie z postępowaniem pojednawczym, arbitrażem i sporami sądowymi), w których Spółka jest stroną; oraz
(q) inne istotne sprawy związane z działalnością Spółki i jej zarządzaniem.
8.4 Prawo do przekazywania uprawnień
Rada może, poprzez przyjęcie uchwały o upoważnieniu (wydanej przez Spółkę lub jej prawnego przedstawiciela w drodze przekazania swoich uprawnień) przekazać każde ze wspomnianych wcześniej uprawnień Dyrektorowi Naczelnemu lub innemu pracownikowi Spółki według swojego uznania. Każde upoważnienie udzielone przez Spółkę lub prawnego przedstawiciela Spółki musi określać osobę udzielającą upoważnienia, osobę otrzymującą upoważnienie, sprawy wchodzące w zakres upoważnienia oraz czas obowiązywania upoważnienia.
9. OSOBY NADZORUJĄCE
9.1 Spółka będzie miała 2 (dwie) Osoby Nadzorujące wyznaczone przez Inwestora. Kadencja każdej z tych osób będzie trwała trzy lata. Osoba Nadzorująca może pełnić swoje obowiązki przez kilka następujących po sobie kadencji, jeśli po upływie danej kadencji zostanie ponownie wyznaczona swoje stanowisko. Stanowisko Osoby Nadzorującej nie może być zajmowane przez Dyrektora lub inną osobę z Zarządu Spółki. Jeśli Osoba Nadzorująca przejdzie na emeryturę, zrezygnuje ze stanowiska, zachoruje lub utraci zdolności prawne, jej następca zostanie wyznaczony przez Inwestora na czas pozostałej kadencji takiej Osoby Nazdorującej.
9.2 Osoby Nadzorujące Spółkę będą pełniły następujące funkcje i będą posiadały następujące uprawnienia:
(a) badanie spraw finansowych Spółki;
(b) monitorowanie działań Dyrektorów i Osób z Zarządu podczas pełnienia przez nich obowiązków związanych ze Spółką oraz występowanie z propozycjami usunięcia takich osób z ich stanowisk w przypadku naruszenia przez nie prawa, przepisów administracyjnych, niniejszego Statutu lub uchwał Inwestora;
(c) kierowanie do Dyrektorów lub osób zajmujących wysokie stanowiska kierownicze żądań zmiany ich zachowania w przypadku, gdy jakieś działania takich osób szkodzą interesom Spółki;
(d) przedstawianie Inwestorowi propozycji; oraz
(e) wnoszenie pozwów przeciw Dyrektorom lub Osobom z Zarządu zgodnie z prawem.
10. PROWADZENIE DZIAŁALNOŚCI I ZARZĄDZANIE
10.1 Spółka przyjmie system zarządzania, w którym Dyrektor Naczelny będzie odpowiedzialny przed Radą i będzie pracował pod jej nadzorem i wykonywał jej polecenia.
10.2 Dyrektor Naczelny będzie osobą uczciwą o nieposzlakowanym charakterze. Będzie również posiadał odpowiednie kwalifikacje i doświadczenie. Dyrektor Naczelny Spółki będzie mianowany przez Inwestora i jego mianowanie zostanie potwierdzone przez Radę.
10.3 Dyrektor Naczelny będzie zatrudniany przez Spółkę zgodnie z postanowieniami indywidualnej umowy o pracę zawartej pomiędzy Dyrektorem Naczelnym i Spółką i zaaprobowanej przez Radę. Z zachowaniem postanowień takiej umowy, Dyrektor Naczelny może być nagradzany, dyscyplinowany i usuwany ze stanowiska na podstawie uchwały Rady.
10.4 Dyrektor Naczelny będzie odpowiadał za codzienną działalność i zarządzanie Spółką i będzie prowadził wszystkie pozostałe sprawy na podstawie uprawnień od czasu do czasu nadawanych mu przez Radę.
10.5 Dyrektor Naczelny nie będzie ponosił osobistej odpowiedzialności za żadne działania podjęte w dobrej wierze w charakterze Dyrektora Naczelnego lub zlecone przez Radę z wyjątkiem rozmyślnego naruszenia obowiązków, działań naruszających Obowiązujące Przepisy Mające Zastosowanie lub odpowiednie przepisy wewnętrzne Spółki oraz przepisy i elementy polityki od czasu do czasu przyjmowane przez Radę. Z zachowaniem tych postanowień i w stopniu dopuszczalnym przez Obowiązujące Przepisy Mające Zastosowanie, Spółka ubezpieczy Dyrektora Naczelnego od wszelkich roszczeń, jakie mogą być przeciw niemu wniesione z powodu działań podejmowanych przez niego podczas pełnienia obowiązków w Spółce.
10.6 Jeśli działalność Spółki będzie tego wymagać, Spółka może wyznaczyć Głównego Specjalistę ds. Finansowych. Jeśli Rada zdecyduje się utworzyć takie stanowisko, taka osoba będzie zatrudniona przez Spółkę zgodne z postanowieniami zaaprobowanej przez Radę indywidualnej umowy o pracę zawartej pomiędzy Głównym Specjalistą ds. Finansowych i Spółką. Z zachowaniem postanowień takiej umowy, Główny Specjalista ds. Finansowych może być nagradzany, dyscyplinowany usuwany ze stanowiska na podstawie uchwały Rady działającej zgodnie z zaleceniami Dyrektora Naczelnego. Zajmując się codziennymi sprawami finansowymi Spółki, Główny Specjalista ds. Finansowych będzie pracował pod nadzorem i według wskazówek Dyrektora Naczelnego.
10.7 Jeśli rozwój działalności biznesowej Spółki będzie tego wymagał, Rada może utworzyć dodatkowe oddziały lub stanowiska kierownicze, takie jak Zastępca Dyrektora Naczelnego, i może wyznaczyć odpowiednich urzędników odpowiedzialnych za takie oddziały lub wykonujących takie funkcje, jak Zarządzanie Personelem. Osoby kierujące takimi oddziałami lub zajmujące takie stanowiska będą wyznaczane przez Radę lub przez Dyrektora Naczelnego, jeśli zostanie on upoważniony przez Radę.
10.8 Dyrektor Naczelny będzie odpowiadał za przygotowanie rocznego budżetu Spółki. Budżet na każdy rok obrachunkowy będzie przedłożony w celu zbadania i) Inwestorowi lub ii) Radzie, jeśli została upoważniona przez Inwestora, przed 30 września poprzedniego roku obrachunkowego lub w terminie określonym przez Radę i będzie zawierał informacje między innymi na temat takich spraw jak:
(a) nabywanie sprzętu i inne wydatki kapitałowe Spółki;
(b) źródła funduszy Spółki i sposób w jaki takie fundusze mają być wykorzystane;
(c) plany dotyczące lokali Spółki;
(d) naprawa, wykorzystywanie i utrzymanie aktywów i sprzętu Spółki; oraz
(e) szacunkowe dochody i wydatki Spółki na rok obrachunkowy objęty biznesplanem i budżetem.
Inwestor lub Rada upoważniona przez Inwestora zakończy swoje badanie oraz zaaprobuje plan i budżet, jeśli zostaną przyjęte do 30 listopada roku, w którym te dokumenty zostaną przedłożone.
10.9 Dyrektor Naczelny może formułować różne przepisy wewnętrzne, przepisy i elementy polityki Spółki, łącznie z tymi, które odnoszą się do ochrony i procedur wykorzystywania znaków fabrycznych Spółki. Te przepisy zaczną obowiązywać i będą wprowadzane w życie po tym, jak zostaną przyjęte przez Radę i zostaną udostępnione Pracownikom Spółki.
10.10 Członkowie Kierownictwa, którzy chcą zrezygnować ze stanowiska w Spółce muszą przedłożyć Radzie swoją pisemną rezygnację z 30 dniowym wyprzedzeniem.
10.11 Opodatkowane zarobki Pracowników zagranicznych, łącznie z Pracownikami z Hongkongu, Macao, Tajwanu mogą być przesyłane poza granice Chin zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie odnoszącymi się do kontroli walutowej. Spółka udzieli w rozsądnych granicach pomocy przy dokonywaniu takich przelewów i dostarczy wszelkich wymaganych w tym celu dokumentów.
11. MIEJSCE
11.1 Spółka będzie prowadziła swoją działalność w swojej zarejestrowanej siedzibie oraz w innych miejscach zaaprobowanych przez Radę, pod warunkiem uzyskania zgody i dokonania rejestracji w odpowiednich departamentach rządowych zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie, z tym że żaden z zapisów w niniejszym punkcie 11.1 nie może być interpretowany jako ograniczenie zakresu geograficznego jakiegokolwiek projektu podejmowanego przez Spółkę.
11.2 Wszystkie umowy najmu nieruchomości zawierane przez Spółkę będą wraz z innymi odpowiednimi dokumentami przedkładane w celu rejestracji w odpowiednich departamentach administrujących nieruchomościami zgodnie z wymogami Obowiązujących Przepisów Mających Zastosowanie.
12. ZARZĄDZANIE PERSONELEM
12.1 Sprawy związane z rekrutacją, zatrudnieniem, zwolnieniami, rezygnacją, płacami, zasiłkami i innymi sprawami dotyczącymi pracowników Spółki będą określane niezależnie przez Spółkę bez ingerencji z zewnątrz zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie oraz przepisami wewnętrznymi i polityką przyjmowaną od czasu do czasu przez Radę.
12.2 Spółka będzie przestrzegała Obowiązujących Przepisów Mających Zastosowanie dotyczących ochrony pracowników i ubezpieczeń społecznych oraz zapewni bezpieczne i cywilizowane działanie przedsiębiorstwa. Składki na ubezpieczenia pracownicze i społeczne Pracowników będą wpłacane zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie.
12.3 Dyrektor Naczelny określi kwalifikacje zawodowe i inne kwalifikacje oraz liczbę Pracowników zgodnie z potrzebami Spółki.
12.4 Dyrektor Naczelny będzie formułował konkretne elementy polityki dotyczące rekrutacji, zwalniania, ubezpieczeń pracowniczych, zasiłków, nagród i kar dla Pracowników Spółki i przedstawi je Radzie do aprobaty.
12.5 Spółka może rekrutować miejscowych Pracowników oraz Pracowników mieszkających za granicą zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie. W przypadkach, gdy będzie to właściwe, konieczne formalności związane z rekrutacją Pracowników w ChRL będą załatwiane w biurach pracy w odpowiednich miejscowościach zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie.
12.6 Spółka będzie w otwarty sposób rekrutować swoich Pracowników. Od kandydatów na dane stanowisko być może będzie się wymagać zdania pisemnego egzaminu lub wzięcia udziału w rozmowie kwalifikacyjnej prowadzonej przez Dyrektora Naczelnego lub upoważnionego przez niego od czasu do czasu członka Kadry Zarządzającej i/lub dostarczenia dokumentów w zadowalający sposób potwierdzających autentycznośc posiadanych kwalifikacji. Nowi pracownicy, którzy zdadzą taki egzamin lub pomyślnie przejdą rozmowy kwalifikacyjne i/lub będą posiadać odpowiednie kwalifikacje zawodowe będą zatrudniani na okres próbny do sześciu miesięcy, przy czym ten okres próbny nie będzie mógł przekraczać najdłuższego okresu próbnego dopuszczalnego przez Obowiązujące Przepisy Mające Zastosowanie. Po pomyślnym przepracowaniu okresu próbnego kandydat zostanie formalnie zatrudniony przez Spółkę.
12.7 Spółka przyjmie system umów o pracę dla wszystkich swoich Pracowników. Spółka będzie zawierała pojedyncze umowy o pracę z indywidualnymi Pracownikami zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie, łącznie z Prawem Pracy ChRL oraz odpowiednimi miejscowymi prawami i przepisami.
12.8 Umowa o pracę zawarta przez Spółkę musi zawierać przynajmniej następujące elementy:
(a) nazwy lub nazwiska zawierających ją stron;
(b) zadania lub obowiązki pracownika oraz zwykle zajmowane miejsce pracy;
(c) czas trwania umowy o pracę (jeśli została zawarta na czas określony);
(d) wysokość pensji, zasiłki z opieki społecznej, ubezpieczenie, ochrona pracowników i dyscyplina;
(e) warunki rozwiązania umowy o pracę; oraz
(f) odpowiedzialność za naruszenie umowy o pracę.
Umowy o pracę muszą być składane w odpowiednim miejscowym biurze pracy.
12.9 Bez naruszania ogólnej wymowy Artykułu 12.8, treść umów o pracę zawieranych przez Spółkę z Pracownikami będzie zgodna z postanowieniami Obowiązujących Przepisów Mających Zastosowanie. Z zachowaniem postanowień Artykułu 10.3 oraz 10.6 dotyczących konieczności zaaprobowania przez Radę umów o pracę Dyrektora Naczelnego oraz Głównego Specjalisty ds. Finansów, każda umowa o pracę będzie miała moc prawną od dnia jego podpisania, o ile w umowie nie będzie wyraźnego stwierdzenia o przeciwnym znaczeniu. Strony takich umów o pracę będą sumiennie wykonywały wszystkie wynikające z nich zobowiązania. Okres umowy o pracę może być przedłużony po jej wygaśnięciu, jeśli strony takiej umowy wyrażą na to pisemną zgodę.
12.10 Pracownicy będą mieli prawo do założenia Związku Zawodowego i prowadzenia działalności związkowej zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie. Związek Zawodowy w Spółce jest przedstawicielem interesów Pracowników. Do zadań Związku Zawodowego należy: ochrona praw demokratycznych oraz interesów materialnych Pracowników, pomaganie Spółce w organizowaniu i racjonalnym wykorzystaniu funduszy socjalnych i zasiłków, działanie w charakterze mediatora w przypadku sporów pracowniczych, organizowanie aktywności Pracowników oraz edukowanie Pracowników w dziedzinie przestrzegania dyscypliny pracy i podejmowania starań o wypełnienie zadań ekonomicznych Spółki.
12.11 W przypadkach, gdy Rada będzie rozważała i podejmowała decyzje w sprawach dotyczących Pracowników, takich jak nagrody, kary, system płac, zasiłki, ochrona pracowników oraz ubezpieczenie, przedstawiciel Związku Zawodowego będzie miał prawo do uczestniczenia w posiedzeniu Rady jako obserwator bez prawa do oddania głosu i Rada wysłucha jego opinii oraz będzie współpracowała ze Związkiem Zawodowym zgodnie z Obowiązującymi Przepisami Mającymi Zastosowani dotyczącymi wykorzystania takich funduszy.
12.12 Spółka będzie przeznaczała co miesiąc fundusze w wysokości 2% (dwóch procent) całkowitych rzeczywistych zarobków swoich pracowników (lub taką sumę jaka może być wymagana zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie) na fundusz wykorzystywany przez Związek Zawodowy.
12.13 Spółka będzie rówież zawierała umowy o pracę z Personelem mieszkającym za granicą. Wzory umów z takimi osobami (jeśli będą sporządzane) będą aprobowane przez Radę.
12.14 Pensje i inne elementy wynagrodzenia Pracowników będą określane przez Radę na podstawie zaleceń Dyrektora Naczelnego dotyczących zdolności i umiejętności takich pracowników oraz w odniesieniu do Obowiązujących Przepisów Mających Zastosowanie (łącznie, ale nie tylko, z prawami dotyczącymi wskazówek na temat płacy minimalnej publikowanymi przez odpowiednie władze oraz innymi obowiązującymi od czasu do czasu aspektami polityki Spółki). Szczegóły dotyczące takich pensji i innego rodzaju wynagrodzenia będą zawarte w umowie o pracę podpisanej z każdym Pracownikiem.
12.15 Rada będzie podejmowała decyzje dotyczące pensji, ubezpieczeń społecznych, zasiłków oraz innych warunków zatrudnienia Kierowników.
12.16 Spory pracownicze będą rozwiązywane zgodnie z odpowiednimi zapisami odpowiednich umów o pracę i Obowiązującymi Przepisami Mającymi Zastosowanie.
13. SPRAWY FINANSOWE I RACHUNKOWOŚĆ
13.1 System księgowy
(a) Główny Specjalista ds. Finansów Spółki (jeśli zostanie wyznaczony) będzie odpowiedzialny za zarządzanie finansami Spółki pod nadzorem Dyrektora Naczelnego.
(b) Główny Specjalista ds. Finansowych (lub Dyrektor Naczelny, jeśli taki specjalista nie zostanie wyznaczony) przygotuje systemy i procedury księgowe zgodnie z Systemem Księgowym Przedsiębiorstw oraz warunkami uzupełniającymi publikowanymi przez Ministerstwo Finansów oraz innymi Obowiązującymi Przepisami Mającymi Zastosowanie. System i procedury księgowe, jakie mają być przyjęte przez Spółkę będą przedstawione Radzie do aprobaty. Po zatwierdzeniu przez Radę, system i procedury księgowe zostaną przekazane do departamentu zarządzającego Spółką oraz do akt odpowiedniego departamentu finansów i podatków władz miejscowych. Metoda przychodów i rozchodów oraz podstawa kwot narosłych zostaną przyjęte jako metody i zasady prowadzenia księgowości.
(c) Spółka przyjmie Renminbi jak swoją podstawową walutę księgową, ale może również przyjąć dolary amerykańskie lub inne waluty jako uzupełniające waluty księgowe. Traktowanie zysków i strat pochodzących z różnic kursowych będzie zgodne z traktowaniem transakcji w walutach obcych określanym przez Ministerstwo Finansów ChRL lub inne Obowiązujące Przepisy Mające Zastosowanie.
(d) Wszystkie zapisy księgowe, dowody wpłaty, księgi i zestawienia Spółki będą sporządzane i prowadzone w języku chińskim i angielskim. Oryginały takich ksiąg, zapisów i zestawień Spółki będą przechowywane w prawnej siedzibie Spółki. Kwestie dotyczące okresu, przez jaki takie księgi, zapisy i zestawienia powinny być przechowywane oraz sposób, w jaki ostatecznie należy nimi zadysponować, będą regulowane przez odpowiednie przepisy Ministerstwa Finansów ChRL oraz inne Obowiązujące Przepisy Mające Zastosowanie.
(e) Dla celów przygotowania rachunków i zestawień finansowych Spółki, obliczenia zadeklarowanej dywidendy należnej Inwestorowi oraz dla innych celów, gdzie może zachodzić konieczność wymiany waluty, taka wymiana będzie zgodna z kursem wymiany określonym przez średni kurs kupna i sprzedaży ogłaszany przez Bank Ludowy Chin lub z innym prawnie uznawanym kursem w dniu rzeczywistego wpłynięcia zapłaty.
13.2 Audyt
(a) Niezależny Audytor Spółki zostanie zaangażowany przez Spółkę jako jej audytor mający za zadanie przeprowadzenie weryfikacji rocznego sprawozdania finansowego. Niezależny Audytor Spółki będzie wyznaczany i usuwany przez Radę.
(b) Kwartalne i roczne zestawienia finansowe oraz inne sprawozdania, jakich może zarządać Dyrektor Naczelny i Główny Specjalista ds. Finansowych, bedą przygotowywane i przedstawiane Radzie. Takie zestawienia będą przygotwywane zarówno w języku chińskim jak i angielskim i będą odnosiły się zarówno do RMB jaki i innej uzupełniającej waluty księgowej przyjętej przez Spółkę. Z wyjątkiem przypadków okręślonych inaczej przez Radę, roczne sprawozdanie finansowe będzie zawierało następujące zestawienia (łącznie z przypisami):
(i) bilans;
(ii) zestawienie rachunku zysków i strat;
(iii) zestawienieo zmian w pozycjach finansowych; oraz
(iv) zalecenia co do podziału zysku (jeśli zostaną wydane).
(c) Kwartalne sprawozdania finansowe będą przedstawiane Dyrektorowi Naczelnemu i Radzie z wystarczającym wyprzedzeniem pozwalającym Radzie na ich ztwierdzenie oraz Dyrektorowi Naczelnemu na ich przekazanie do odpowiednich władz. Roczne sprawozdania finansowe będą poddawne audytowi i przedstawiane Dyrektorowi Naczelnemu oraz Radzie do aprobaty w ciągu pierwszych 3 (trzech) miesięcy następującego roku. Roczne sprawozdania finansowe będą poświadczane przez Niezależnego Audytora zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie. Dyrektor Naczelny przedstawi poświadczone roczne sprawozdania właściwym władzom przed upływem czwartego miesiąca następującego roku.
13.3 Rachunki bankowe i kontrola dewizowa
(a) Spółka otworzy osobny rachunek bankowy w wyznaczonym banku posiadającym rachunki dewizowe i rachunek Renminbi w banku posiadającym odpowiednią licencję w Chinach i może, za zgodą Państwowej Administaracji Dewizowej, otwierać rachunki w imieniu Spółki w bankach poza granicami Chin. Transakcje walutowe Spółki będą przeprowadzane zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie dotyczącymi kontroli dewizowej.
(b) Wszystkie czeki i inne polecenia zapłaty pieniędzy, weksle i inne dokumenty potwierdzające zadłużenie wydane w imieniu i płatne przez Spółkę będą podpisywane lub indosowane przez osobę lub osoby wyznaczone przez Radę.
13.4 Rok obrachunkowy
Spółka przyjmie rok kalendarzowy jako swój rok obrachunkowy rozpoczynający się 1 stycznia i kończący się 31 grudnia, z tym że pierwszy rok obrachunkowy Spółki rozpocznie się w Dniu Wydania Licencji Handlowej i zakończy się 31 grudnia po tej dacie.
13.5 Podział zysku
(a) Po zapłaceniu przez Spółkę podatku od dochodu przedsiębiorstwa oraz innych odpowiednich Podatków, Rada określi roczne przeznaczenie opodatkowanego zysku na fundusze rezerwowe Spółki oraz fundusz premii dla odpowiednich Pracowników. Jeśli suma na funduszu rezerwowym będzie równa 50% (pięćdziesięciu procentom) Kapitału Zakładowego Spółki żadne dalsze sumy nie będą wpłacane na ten fundusz, o ile rada nie postanowi inaczej. Z zachowaniem tego postanowienia, o ile Obowiązujące Przepisy Mające Zastosowanie nie stanowią inaczej, całkowita suma przeznaczaną co roku na fundusz rezerwowy nie będzie mniejsza niż 10% (dziesięć procent) opodatkowanych zysków Spółki i łączne wpłaty na wszystkie fundusze nie przekroczą 15% (piętnastu procent) opodatkowanych zysków Spółki w jakimkolwiek roku obrachunkowym.
(b) Zysk netto Spółki po odliczeniu podatków (po odliczeniu wszystkich sum przeznaczanych na fundusze wspomniane w paragrafie (a) powyżej) zostanie podzielony przez Inwestora, o ile Inwestor nie postanowi, że takie zyski (lub ich część) zostaną ponownie zainwestowane przez Spółkę.
(c) Jeśli Spółka przenosi skumulowane straty z poprzednich lat, zyski z obecnego roku będą wykorzystane w pierwszej kolejności w celu pokrycia takich strat. Spółka nie podzieli żadnych zysków, jeśli skumulowany deficyt z poprzednich lat nie zostanie pokryty. Zysk zatrzymany przez Spółkę i przeniesiony z poprzednich lat może zostać podzielony razem z podlegającym podziałowi zyskiem z bieżącego roku obrachunkowego, po tym jak deficyt z bieżącego roku obrachunkowego i/lub lat poprzednich (jeśli wystąpił) został pokryty z tego zysku.
14. OPODATKOWANIE
14.1 Podatek dochodowy, opłaty celne i inne podatki
(a) Spółka będzie odpowiadała za płatność wszystkich odpowiednich Podatków wymaganych zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie.
(b) Niezwłocznie po Dniu Wydania Licencji Handlowej lub niezwłocznie po tym, jak Spółka będzie miała prawo to zrobić zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie, Spółka złoży podania do odpowiednich władz o wydanie dostępnych koncesji podatkowych (jeśli takie istnieją).
(c) Zarówno Pracownicy chińscy jak i zagraniczni będą indywidualnie płacili podatek od swoich dochodów i w przypadkach, gdzie to będzie wymagane przez Obowiązujące Przepisy Mające Zastosowanie, będą składali sprawozdania władzom fiskalnym ChRL zgodnie o odpowiednimi zapisami Obowiązujących Przepisów Mających Zastosowanie.
15. WŁASNOŚĆ INTELEKTUALNA
15.1 Wszelkie Prawa do Własności Intelektualnej (inne niż te posiadane lub licencjonowane przez Inwestora lub jego Oddziały lub jakąkolwiek osobę trzecią) powstałe w czasie działalności Spółki lub wytworzone przez Spółkę pozostaną własnością Spółki.
15.2 Rada podejmie w rozsądnych granicach kroki w celu zabezpieczenia Praw do Własności Intelektualnej Spółki (łącznie z upoważnieniem odpowiednich członków Personelu do składania odpowiednich podań o rejestrację tam, gdzie to jest konieczne w tym celu). Spółka dopiluje również, żeby pracownicy Spółki zawierali umowy o pracę zawierające zwyczajowe i uzasadnione zapisy dotyczące zachowania poufności, braku konkurencji, ochrony tajemnic handlowych i wynalazków, zapewniające tak dalece jak to możliwe zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie zarezerwowanie dla Spółki wyłącznej własności do odpowiednich Praw Własności Intelektualnej (łącznie z wszystkimi wynalazkami Personelu).
15.3 Spółka dopilnuje we każdy możliwy sposób, aby wszelkie dokumenty wytworzone przez Spółkę w jakiejkolwiek formie i zawierające tajemnice handlowe lub inne poufne informacje posiadały formułkę pisaną tłustym drukiem o treści: „Zawiera wysoce poufne informacje. Nie przekazywać żadnym osobom trzecim bez uprzedniej pisemnej zgody Spółki.”, lub zawierającą sformułowanie o równorzędnej treści i Spółka podejmie specjalne kroki w celu bezpiecznego przechowywania takich dokumentów oraz ograniczenia liczby kopii będących w obiegu.
16. OKRES
16.1 Okres Istnienia Spółki
Początkowy okres istnienia Spółki będzie wynosił [ 50 (pięćdziesiąt)] lat, począwszy od Dnia Wydania Licencji Handlowej.
16.2 Przedłużenie
Jeśli Inwestor zaaprobuje przedłużenie Okresu, Spółka wystosuje podanie do Organu Kontrolnego i Zatwierdzającego z prośbą o zaakceptowanie przedłużenia Okresu Istnienia Spółki, łącznie z uchwałą Inwestora aprobującą takie przedłużenie, nie później niż 180 (sto osiemdziesiąt) dni przed wygaśnięciem tego Okresu. Jeśli takie podanie zostanie zaaprobowane, ten Statut będzie nadal w pełni obowiązywał podczas takiego okresu przedłużenia i odniesienia do „Okresu” w tym Statucie będą interpretowane jako odniesienia do takiego przedłużonego Okresu Istnienia Spółki zaaprobowanego przez Organ Kontrolny i Zatwierdzający.
17. WYGAŚNIĘCIE, ROZWIĄZANIE I LIKWIDACJA
17.1 Wygaśnięcie
(a) Ten Statut wygaśnie po upływie Okresu, o ile okres ten nie zostanie przedłużony zgodnie z Artykułem 16.2.
(b) Czas obowiązywania tego Statutu może zostać zakończony w każdym chwili przed upływem Okresu w drodze pisemnego zawiadomienia wysłanego do Spółki przez Inwestora przy pomocy faksymile, teleksu, telegramu lub poleconej poczty lotniczej na jej prawny adres lub numery telefonów.
(c) Bez naruszania zapisów Artykułu 17.1(b), Inwestor lub Rada (wcześniej pisemnie upoważniona przez Inwestora) będą mieli prawo do podjęcia uchwały likwidującej Społkę, jeśli zaistnieje jedna z następujących sytuacji:
(i) Spółka poniesie dotkliwe straty lub zostanie ogłoszona jej niewypłacalność albo Spółka nie będzie w stanie spłacić swoich długów w dniu ich zapadalności;
(ii) Spółka nie będzie zdolna do prowadzenia swojej działalności lub prowadzenia zyskownej działalności z powodu zaistnienia siły wyższej, takiej jak klęski żywiołowe, wojna, embargo, akty rządowe, ogłoszenie nowych lub zrewidowanych praw lub przepisów, epidemii lub innych wydarzeń, których nie można przewidzieć, nie można im zapobiec lub przezwyciężyć i które mają istotny negatywny wpływ na finanse, działalność lub perspektywy rozwoju Spółki i przyczyn tych zdarzeń nie można usunąć w rozsądnym ramach czasowych (określonych przez Inwestora lub Radę upoważnioną przez Inwestora);
(iii) jakakolwiek istotna licencja, pozwolenie, zgoda lub kwalifikacje posiadane przez Spółkę zostaną zmodyfikowane, unieważnione lub odwołane lub nie będą mogły być odnowione po ich wygaśnięciu i takie wydarzenie będzie miało istotny negatywny wpływ na zdolność Spółki do działania;
(iv) Spółka zostanie rozwiązana zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie w związku z ich naruszeniem; lub
(v) wystąpią jakiekolwiek inne wydarzenia będące powodem wygaśnięcia według zapisów tego Statutu lub zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie.
(d) W przypadku gdy Inwestor lub Rada (po uzyskaniu uprzedniego pisemnego upoważnienia od Inwestora) podejmą decyzję o wygaśnięciu tego Statutu zgodnie z wymienionymi wcześniej warunkami, Rada wniesie jednomyślne podanie do Organu Kontrolnego i Zatwierdzającego w celu uzyskania aprobaty. Po uzyskaniu takiej aprobaty, takie podanie rozwiązujące Spółkę zostanie zarejestrowane w SAIC.
(e) Po dokonaniu takiej rejestracji w SAIC, Spółka zostanie rozwiązana i zlikwidowana zgodnie z odpowiednimi procedurami opisanymi w Obowiązujących Przepisach Mających Zastosowanie oraz zgodnie z postanowieniami poniższego Artykułu 17.2.
17.2 Likwidacja
(a) W ciągu 15 (piętnastu) dni od przyjęcia i zarejestrowania podania o rozwiązanie Spółki zgodnie z Artykułem 17.1(d), Rada wyznaczy komisję likwidacyjną, która będzie miała prawo do reprezentowania Spółki we wszystkich sprawach prawnych. Komisja likwidacyjna będzie pełniła swoje obowiązki zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie oraz zawartymi tu zasadami. W szczególności, do obowiązków komisji likwidacyjnej będzie należeć:
(i) przekazywanie odpowiednim władzom rządowym informacji na temat nazwy i adresu Spółki, przyczynach wprowadzania procedur likwidacyjnych oraz dacie rozpoczęcia likwidacji;
(ii) publikowanie ogłoszeń i powiadamianie dłużników o likwidacji zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie;
(iii) przeprowadzanie pełnego badania aktywów Spółki, jej praw i zobowiązań, przygotowywanie oświadczenia dotyczącego aktywów i zobowiązań oraz szczegółowej listy aktywów, określanie wartości i podstawy wyceny takich aktywów;
(iv) przygotowywanie planu likwidacji i przedkładanie go Radzie do akceptacji; oraz
(v) reprezentowanie Spółki podczas rozpoczynania procedur prawnych i obrony przed procedurami prawnymi w okresie likwidacji.
(b) Komisja likwidacyjna będzie składała się z 3 (trzech) członków wyznaczonych przez Radę. Członkami komisji likwidacyjnej mogą być Dyrektorzy, starsi pracownicy Spółki lub fachowcy z odpowiednimi kwalifikacjami. Członkowie komisji likwidacyjnej będą ponosić wobec Spółki odpowiedzialność powierniczą i będą pod każdym względem stosować się do wymogów Obowiązujących Przepisów Mających Zastosowanie podczas pełnienia obowiązków. Komisja likwidacyjna będzie podejmować decyzje na podstawie większości głosów po przeprowadzonych konsultacjach, o ile Obowiązujące Przepisy Mające Zastosowanie nie będą określać tej kwestii inaczej.
(c) Komisja Likwidacyjna wyznaczy niezależnego Rzeczoznawcę, który dokona wyceny Aktywów Spółki na podstawie aktualnej rzetelnej wartości rynkowej.
(d) Wydatki związane z likwidacją oraz wynagrodzenie członków komisji likwidacyjnej będą wypłacane z prawem pierwszeństwa z pozostałych aktywów Spółki, z wyjątkiem przypadków określanych inaczej przez Obowiązujące Przepisy Mające Zastosowanie.
(e) Po zakończeniu procedur likwidacyjnych zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie, komisja likwidacyjna przedstawi Inwestorowi do potwierdzenia końcowe sprawozdanie. Po uzyskaniu takiego potwierdzenia ze strony Inwestora, sprawozdanie zostanie przekazane do akt Organu Kontrolnego i Zatwierdzającego. Następnie komisja likwidacyjna przeprowadzi wszystkie procedury wyrejestrowania Spółki zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie. Inwestor będzie miał prawo do uzyskania kopii wszystkich ksiąg rachunkowych Spółki oraz innych dokumentów na własny koszt, jednak oryginały dokumentów pozostaną pod opieką Organu Kontrolnego i Zatwierdzającego lub będą przechowywane w inny sposób określony przez Obowiązujące Przepisy Mające Zastosowanie.
17.3 Ciągłość Zobowiązań
Po wygaśnięciu tego Statutu obowiązywac będą nadal postanowienia Artykułu 8 (Rada Dyrektorów) (jednak tylko odnośnie działań Rady wymaganych po wygaśnieciu tego Statutu i przed wyrejestrowaniem Spółki) oraz Artykułu 16 (Okres), Artykułu 17 (Wygaśnięcie, Rozwiązanie i Likwidacja), Artykułu 18 (Właściwe Prawo) oraz Artykułu 20 (Postanowienia Różne), a także postanowienia Harmonogramu A (Definicje) (jednak tylko w zakresie wymaganym przy interpretacji wspomnianych wcześniej zapisów).
18. WŁAŚCIWE PRAWO
Ważność, interpretacja, wykonanie, zmiana i rozwiązanie tego Statutu będą zgodne z Obowiązującymi Przepisami Mającymi Zastosowanie.
19. WEWNĘTRZNE PRZEPISY I ZASADY SPÓŁKI
19.1 Rada (lub Dyrektor Naczelny, jeśli zostanie pisemnie upoważniony przez Radę) może sformułować dodatkowe szczegółowe przepisy i zasady wewnętrzne dotyczące następujących spraw związanych ze Spółką:
(a) przepisy dla Zarządu, łącznie z uprawnieniami i funkcjami organizacji kierownictwa oraz zasady i procedury robocze;
(b) przepisy dotyczące spraw pracowniczych;
(c) systemy i stopnie dotyczące siły roboczej i systemy wynagradzania;
(d) systemy związane z rejestrowaniem obecności w pracy, awansem oraz systemy nagród i kar dla Pracowników;
(e) szczegółowe zasady dotyczące zasiłków dla personelu i pracowników;
(f) systemy finansowe i księgowe;
(g) procedury likwidacyjne w przypadku rozwiązania Spółki; oraz
(h) inne przepisy i zasady, jakich może wymagać działalność Spółki oraz wewnętrzne potrzeby związane z zarządzaniem.
20. POSTANOWIENIA RÓŻNE
20.1 Język
Ten Statut został przygotowany w języku chińskim w 3 (trzech) oryginalnych egzemplarzach oraz w języku angielskim w 3 (trzech) oryginalnych egzemplarzach. Obie wersje językowe będą miały równy skutek prawny.
20.2 Data wejścia w życie
Ten Statut nabierze mocy wiążącej w dniu, w którym zostanie właściwie zaaprobowany przez Organ Kontrolny i Zatwierdzający. Przed wejściem w życie, wszelkie zmiany w tym Statucie muszą być zaaprobowane przez uchwałę Inwestora oraz przez Organ Kontrolny i Zatwierdzający.
20.3 Miejsce i data złożenia podpisu
Ten Statut zostaje niniejszym wykonany w [Prowincji Jiangsu], w Chinach przez upoważnionego pełnomocnika Inwestora w dniu wymienionym powyżej.
20.4 Konflikt z Obowiązującymi Przepisami Mającymi Zastosowanie
W zakresie, w jakim postanowienia tego Statutu będą wchodzić w konflikt lub będą niezgodne z Obowiązującymi Przepisami Mającymi Zastosowanie przeważać będą zapisy Obowiązujących Przepisów Mających Zastosowanie.
20.5 Harmonogramy i Załączniki
Harmonogramy i Załączniki do tego dokumentu są integralną częścią tego Statutu i są w równym stopniu wiążące wraz z punktami 1 do 20 tego Statutu.
NA DOWÓD CZEGO Inwestor niniejszym sprawił, że ten Statut został wykonany przez jego właściwie upoważnionego pełnomocnika w dniu podanym powyżej.

DEFINICJE
1. O ile kontekst tego Statutu nie będzie stanowił inaczej, następujące terminy będą miały znaczenie podane poniżej:
„Oddział" oznacza każdą osobę prawną lub inną jednostkę kontrolującą (bezpośrednio lub pośrednio), kontrolowaną lub pozostającą pod wspólną kontrolą z Inwestorem. Dla celów tej definicji „kontrola” oznacza bezpośrednią lub pośrednią własność 50% kapitału akcyjnego lub innych udziałów dających prawo do głosowania lub podziału zysków takiej jednostki lub osoby.
„Obowiązujące Przepisy Mające Zastosowanie" oznacza (krajowe lub miejscowe) obecnie obowiązujące i publicznie ogłoszone prawa, przepisy, zasady, ogłoszenia i inne akty prawne, decyzje wykonawcze i sądowe lub oświadczenia ChRL mające zastosowanie do Inwestora i/lub Spółki w odniesieniu do przedmiotu tego Statutu; w celu uniknięcia wątpliwości określenie to zawiera odniesienie do Prawa ChRL dotyczącego przedsiebiorstw będących w całości własnością podmiotów zagranicznych oraz do Przepisów wykonawczych do prawa ChRL dotyczącego przedsiębiorstw będących w całości własnością podmiotów zagranicznych.
„Certyfikat Aprobaty” oznacza certyfikat aprobujący Spółkę wydany przez Organ Kontrolny i Zatwierdzający po zaakceptowaniu tego Statutu.
„Rada" oznacza Radę Dyrektorów Spółki ustanawianą od czasu do czasu.
„Licencja Handlowa" oznacza pierwszą chińską licencję handlową dla przedsiebiorstwa lub osoby prawnej wydaną przez SAIC Spółce.
„Data Wydania Licencji Handlowej" oznacza dzień wydania Licencji Handlowej.
„Wniesienie Kapitału" oznacza wpłaty na kapitał, jakie Inwestor zgodzi się wnosić na Kapitał Zakładowy Spółki zgodnie z Harmonogramem B.
„Główny Specjalista ds. Finansowych" oznacza Głównego Specjalistę ds. Finansowych wyznaczanego przez Radę zgodnie z Artykułem 10.6.
„Chiny” lub „ChRL” oznacza Chińską Republike Ludową z wyłączniem Hongkongu i Makau SARs oraz Tajwanu.
„Spółka" oznacza [WFOE nazwa w języku angielskim ("WFOE nazwa w języku chińskim")].
„Zastępca Dyrektora Naczelnego" oznacza zastępcę dyrektora naczelnego Spółki wyznaczanego przez Radę zgodnie z Artykułem 10.7.
„Dyrektor" oznacza dyrektora Spółki od czasu do czasu wyznaczanego przez Inwestora zgodnie z Artykułem 8.1 i obejmuje odniesienie do każdego pełnomocnika od czasu do czasu wyznaczanego przez Dyrektora zgodnie z tym Statutem w okresie obowiązywania takiego upoważnienia.
„Data Wejścia w Życie" oznacza datę wejścia w życie tego Statutu, czyli dzień, w którym ten Statut zostanie zaaprobowany przez Organ Kontrolny i Zatwierdzający.
„Organ Kontrolny i Zatwierdzający" oznacza MOFCOM, jego upoważnione miejscowe organy lub każde inne władze upoważnione (bezpośrednio lub pośrednio) przez MOFCOM do aprobowania zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie:
(i) tego Statutu i/lub wszelkich zmian w tym Statucie; i/lub
(ii) wszelkich następujących później zmian w Spółce, takich jak przekazanie udziałów, fuzja, podział, zwiększenie i zmniejszenie kapitału itp.
„Dyrektor Naczelny" oznacza dyrektora naczelnego Spółki.
„Niezależny Rzeczoznawca” oznacza niezależnego i kompetentnego rzeczoznawcę zarejestrowanego w Chinach i posiadającego kwalifikacje do dokonywania szacunków aktywów Spółki zgodnie z Obowiązującymi Przepisami Mającymi Zastosowanie oraz wybranego przez Niezależnego Audytora Spółki na prośbę Inwestora.
„Niezależy Audytor” oznacza niezależnego i kompetentnego księgowego lub firmę księgową uznawaną w skali międzynarodowej zarejestrowaną w Chinach i wyznaczoną przez Radę na niezależnego audytora Spółki.
„Prawa do Własności Intelektualnej" obejmuje patenty, funkcjonalne modele, znaki fabryczne, zarejestrowane projekty, niezarejestrowane prawa do projektów, prawa autorskie, prawa moralne, rysunki techniczne, nazwy handlowe, prawa do baz danych, nazwy domen internetowych, nazwy marek, oprogramowanie i systemy komputerowe, wiedzę specjalistyczną, tajemnice handlowe, wynalazki, informacje poufne oraz inne przemysłowe i handlowe prawa do własności intelektualnej w jakikolwiek sposób i gdziekolwiek zarejestrowane lub mogące albo nie mogące być zarejestrowane oraz wszystkie podania o rejestrację lub ochronę.
„Certyfikat Inwestycyjny" oznacza certyfikat wydany przez Spólkę jakiejkolwiek osobie zgodnie z postanowieniami Artykułu 5.6 w odniesieniu do jakiegokolwiek wniesienia kapitału do Spółki przez tę osobę.
„Związek Zawodowy" oznacza stowarzyszenie założone i składające się z pracowników Spółki wykorzystujących swoje ustawowe prawa zgodnie prawem związkowym ChRL.
„Personel Kierowniczy" oznacza Dyrektora Naczelnego, Zastępcę Dyrektora Naczelnego (jeśli jest wyznaczony), Głównego Specjalistę ds. Finansowych (jeśli został wyznaczony) oraz innych pracowników wyznaczanych od czasu do czasu na kierowników przez Radę.
„Istotna Modyfikacja” oznacza modyfikację (również poprzez narzucenie dodatkowych warunków) wprowadzoną przez odpowiednie departamenty rządowe do tego Statutu lub przewidywanego zakresu działalności Spółki uzgodnionego lub przewidywanego przez Inwestora, która zdaniem Inwestora będzie miała istotny negatywny wpływ na zdolność Spółki do osiągnięcia jej celów ekonomicznych i operacyjnych.
„MOFCOM" oznacza Ministerstwo Handlu ChRL lub jego odpowiednie miejscowe i uprawnione organy (w zależności od kontekstu).
„MOFTEC” oznacza dawne Ministerstwo Handlu Zagranicznego i Współpracy Ekonomicznej (obecnie połączone w MOFCOM).
„Personel" oznacza ogólnie Personel Kierowniczy i Pracowników.
