This Memorandum IS QUALIFIED in its entirety BY the Application Form for Subscription of the Class A Preference Shares, the Constitution of the Company, the Administration Agreement between the Company and the Administrator, the Custodian Agreement entered into with Deutsche Bank AG, the Investment Management Agreement between the Company and the Investment Manager and the Investment Advisory Agreement between the Company and the Indian Investment Advisor, as applicable, copies of which will be provided to each prospective investor upon request, and any conflict between any statement made herein and any provision of any of the Application Form for Subscription, Constitution of the Company, the Administration Agreement between the Company, and the Administrator, the Custodian Agreement entered into with Deutsche Bank Mauritius Ltd – Offshore Banking Unit in Mauritius, the Investment Advisory Agreement between the Company and the Indian Investment Advisor and the Investment Management Agreement between the Company and the Investment Manager as applicable, shall be resolved in favour of the latter documents.
