W opisie połączenia dwóch firm, w jednej z nich funkcjonuje "commissionaire structure", a w drugiej "buy-sell structure".

__ currently operates via a commissionaire structure where the __ principal legal entity “__”, based in Belgium, purchases all the company’s products and services.
The country entities are “commissionaires”.
They are only allowed to facilitate transactions that are shipped into their own country and must buy all products from the principal company.
___ operates within a buy-sell structure, where all business is transacted locally through the country entities.

Może pośrednik handlowy, ale nie wiem, czy nie zbyt ogólnie. Przedstawicielstwo?

Tak działa firma, szczegółów nie znam. Wyobrażam sobie, że oddziały firmy tak rozliczają się z centralą.

Nie bardzo rozumiem kontekst. Skoro prowadzi sprzedaż pod wlasną marką, zapewne moze sprzedawać produkty roznych producentów.

What is a commissionaire?

The concept of a “commissionaire” is based on civil law systems such as those in France, Germany, the Netherlands and Switzerland. It refers to a person who sells goods in his own name, but for the account of a principal.

Under a commissionaire arrangement:

- the commissionaire sells to customers, and acts in the commissionaire’s own name
- the principal is contractually bound to deliver the goods to the customers
- title in the goods passes directly from the principal to the customers
the commissionaire is contractually bound to remit the price received to the principal
- no contractual relationship is created between customers and the principal, and Customers have a right of recourse against the commissionaire only

Art. 765 [Pojęcie] Przez umowę komisu przyjmujący zlecenie (komisant) zobowiązuje się za wynagrodzeniem (prowizja) w zakresie działalności swego przedsiębiorstwa do kupna lub sprzedaży rzeczy ruchomych na rachunek dającego zlecenie (komitenta), lecz w imieniu własnym.

Centrala jest w Belgii, kraje Europy; Ameryki również. Wydaje mi się, że struktura komisowa to nie to, jest napisane, że ten pośrednik kupuje produkty, więc się to nie zgadza do końca.

What is a commissionaire?

Commissionaire structures are not uncommon within multinational groups.

The concept of a “commissionaire” is based on civil law systems such as those in France, Germany, the Netherlands and Switzerland. It refers to a person who sells goods in his own name, but for the account of a principal.

Under a commissionaire arrangement:

the commissionaire sells to customers, and acts in the commissionaire’s own name the principal is contractually bound to deliver the goods to the customers
title in the goods passes directly from the principal to the customers
the commissionaire is contractually bound to remit the price received to the principal no contractual relationship is created between customers and the principal, and Customers have a right of recourse against the commissionaire only
There is no direct equivalent under English law. The closest is an agent for an undisclosed principal. However, this has a different legal effect in law, because the customer can sue both the agent and the principal.

In European civil law jurisdictions (e.g., France, Germany), a commissionaire is a person who acts in his or her own name for the account of a principal. The principal is contractually bound to deliver (through the commissionaire) the goods sold to the customer; the commissionaire is contractually bound to the principal to remit the price received to the principal. In addition, the commissionaire is contractually bound to the customer to deliver the goods sold on the terms agreed. No relationship is created between the customer and the principal. The commissionaire is remunerated by commission, and paid by the principal. The commissionaire does not take title to the goods.
